Financial position, liquidity and capital allocation
- At July 4, 2015, cash and cash equivalents were $33.4 million and short-term investments were $5.3 million. Current assets were $523.0 million and current liabilities were $713.2 million.
- Balance-sheet note payable and current maturities were $304.3 million; long-term debt was $9.0 million. The filing says $154 million of revolving-credit borrowings were outstanding, classified as current. Senior notes due April 6, 2016 also contributed to current classification; management planned to refinance them.
- The revolving facility provides $250 million of capacity, with $96.0 million of additional borrowing capacity available at quarter-end. The amended agreement extends the facility to June 2020, subject to conditions tied to the senior-note maturity. HNI reported compliance with covenants and expected to remain compliant over the next 12 months.
- Operating cash use reflected a $106.6 million working-capital use, attributed to timing of expenses and higher receivables from increased sales. Investing activities used $49.0 million, including $33.7 million of capital expenditures and $16.2 million of capitalized software.
- HNI paid $0.515 per share in dividends during the first half and repurchased 305,000 shares for $15.2 million. The quarterly dividend was raised 6% to $0.265 per share.
Material changes and unusual items
Sales growth came from office furniture in both supplies-driven and contract channels and from hearth products, including acquisition impact and growth in new construction and retail gas remodel/retrofit. Gross-margin improvement reflected higher volume, pricing, lower restructuring and transition costs, and operational performance, partly offset by unfavorable product mix. Selling and administrative expense increased in dollars, but declined as a share of sales to 29.4% from 30.5% for the quarter.
Comparisons were affected by prior-year items: the second quarter of 2014 included an $8.9 million goodwill impairment, $1.4 million of restructuring costs, and a $1.3 million asset-sale gain. In the first half of 2014, HNI also recorded $9.7 million of asset-sale gains. In the current quarter, restructuring costs were reduced by $0.6 million due to lower-than-expected postemployment costs; current-quarter transition costs were $1.3 million. The effective tax rate rose to 36.4% for the quarter and 36.7% for the first half, mainly due to higher state taxes.
Outlook, risks and contingencies
- Management remained optimistic about both markets and said HNI was positioned to grow sales and significantly increase profits in 2015. It expected positive operating cash flow for the full year.
- Full-year 2015 capital expenditures, including capitalized software, were expected to be approximately $110 million to $115 million.
- Management said cash, future operating cash flow, available borrowing capacity and potential capital-market access should fund operations and cash needs for at least 12 months.
- Disclosed risks include demand and economic conditions, housing-market weakness, competition and pricing, materials and fuel costs, product mix, supply or facility disruptions, execution of cost, integration and growth initiatives, credit availability and covenant restrictions, and currency fluctuations.
- Ordinary-course litigation, environmental remediation, tax matters and other claims were not expected by management to have a material adverse effect. HNI reported no material change in risk factors or market risks and no material off-balance-sheet arrangements.
Important facts for investors to verify
- Whether the stated 2015 outlook and expected full-year positive operating cash flow were subsequently achieved.
- Refinancing and maturity treatment of the $150 million senior notes due April 2016, and compliance with credit-facility and note covenants.
- Whether working-capital cash outflows, especially receivables and payables timing, normalized in subsequent periods.
- The sustainability of segment growth and margin gains, separating underlying performance from acquisition contribution and prior-year impairment, restructuring and asset-sale comparisons.
- The final purchase-price allocation for the 2014 acquisition and any resulting changes to reported assets, goodwill or earnings.
