  • Q2 revenue rose 3.3% year over year (3.5% constant currency), but gross margin declined 3.0 percentage points and net earnings fell 24.9%. HPE attributed revenue growth mainly to higher Server average selling prices; lower-margin mix in Server and Intelligent Edge weighed on gross margin.
  • First-half revenue declined 5.6% (5.7% constant currency), and net earnings fell 23.7%. Lower Server unit volumes, lower Hybrid Cloud prices, and weaker Intelligent Edge demand were principal contributors. First-half operating cash flow and free cash flow improved substantially from the prior-year period.
  • Q2 segment revenue changes: Server +17.6%; Hybrid Cloud −8.4%; Intelligent Edge −19.2%; Financial Services +1.0%; Corporate Investments and Other +4.1%. Server operating margin fell to 11.0% from 14.4%; Intelligent Edge margin was 21.8%, down from 24.7%. First-half Intelligent Edge operating margin improved to 25.8% from 22.2% despite lower revenue.
  • At April 30, cash and cash equivalents were $2.676B, restricted cash $248M, and total debt $11.257B, down from $12.355B at October 31, 2023. Current assets were $21.427B and current liabilities $23.750B. Available borrowing resources were $6.353B, excluding Juniper acquisition financing.
  • Inventory rose to $7.326B from $4.607B; days of supply increased to 137 from 87 a year earlier. Management cited strategic component purchases and AI-related orders awaiting delivery or customer acceptance. Accounts payable rose to $10.119B from $7.136B.

Outlook, transactions, and material risks

  • Management expects a mixed macroeconomic environment and conservative customer spending to limit near-term revenue growth. It reported easing, but continuing, supply constraints, inflationary input costs, competitive pricing, foreign-exchange exposure, and uneven demand. HPE expects higher-than-normal inventory to continue while some AI-related orders complete longer delivery and acceptance cycles.
  • HPE said operating cash flows, capital-market access, committed Juniper financing, and anticipated H3C sale proceeds should meet liquidity needs for at least the next 12 months and thereafter. The filing provides no specific consolidated revenue, earnings, or EPS guidance for fiscal 2024.
  • The proposed all-cash Juniper Networks acquisition is priced at $40 per share, with approximately $14B equity value. Juniper shareholders approved it; regulatory approvals and customary closing conditions remained outstanding at the filing date. HPE had a $14B delayed-draw term-loan commitment and had paid $42M in financing fees.
  • On May 24, 2024, HPE amended its H3C sale arrangements: it planned to sell 30% for approximately $2.1B pre-tax by August 31, 2024, with options relating to the remaining 19% for approximately $1.4B. The transactions remained subject to conditions and regulatory approvals. On May 23, HPE announced plans to divest its Communications Technology Group business to HCLTech, subject to approvals and customary conditions.
  • Goodwill impairment sensitivity is notable: Compute and HPC & AI each had only about 4% fair-value headroom at the interim test date. HPE described demand, pricing, supply-chain, and customer-acceptance risks that could lead to impairment if assumptions worsen.
  • Tax authorities’ IRS adjustments for fiscal 2017–2019 seek to increase taxable income by $904M. HPE disputes the position and says available tax credit carryforwards could offset incremental tax; discussions were ongoing, with no reserve change recorded. HPE also disclosed a German patent injunction affecting certain products containing Intel processors; HPE appealed and said Intel indemnifies it, but any non-indemnifiable loss could not be reasonably estimated.
  • Other exposures include ordinary-course litigation and environmental obligations. HPE said it had adequate litigation provisions and that a material loss beyond amounts recognized was not reasonably possible as of April 30. It warned that macroeconomic and geopolitical conditions, trade measures, competition, component costs, customer acceptance timing, cybersecurity, and regulatory changes could affect results.

Key facts for investors to verify

  • Whether Server growth and AI-related order acceptance convert into sustainable revenue and margins, and whether elevated inventory unwinds as expected.
  • Progress, financing structure, regulatory approvals, and closing conditions for the Juniper acquisition, including the effect of added debt and proposed preferred securities.
  • Timing, approvals, proceeds, and remaining ownership implications of the H3C transaction, and completion terms for the CTG divestiture.
  • Cash conversion and liquidity: first-half free cash flow was $128M despite $1.157B operating cash flow; confirm working-capital trends and capital spending.
  • Developments in the IRS transfer-pricing dispute, German patent appeal, and goodwill headroom for Compute and HPC & AI.
