Material changes and management commentary

  • Higher sales volume, productivity, and prior structural cost actions lifted gross and operating margins. The Fire & Safety/Diversified Products segment benefited particularly from fulfilling a large dispensing order.
  • Fluid & Metering Technologies sales increased on energy demand, OEM truck builds, and improving municipal spending; some emerging-market projects were delayed. Health & Science Technologies growth reflected pharmaceutical project shipments, new-product market share, and FTL acquisition contribution, while Optics & Photonics was softer amid lower military spending and product-line exits.
  • SG&A rose to $130.6 million from $117.3 million, including higher volume-related costs and a full quarter of FTL-related costs. Interest expense was broadly stable. The effective tax rate was 28.5%, versus 28.2%; current-quarter settlements favorably affected taxes.
  • Cash from operations increased modestly, with higher earnings partly offset by greater working-capital investment, particularly receivables and inventories. IDEX repurchased 551,148 shares for approximately $40.1 million during the quarter and paid $18.6 million in dividends.

Outlook, risks, and contingencies

Management projected Q2 2014 diluted EPS of $0.85–$0.87 and raised full-year 2014 diluted EPS guidance to $3.38–$3.45, citing an outlook for 4%–5% organic revenue growth. Management said cash, operating cash flow, and available revolver capacity should cover anticipated 2014 operating needs, capital spending, debt interest, benefit contributions, repurchases, and dividends.

Results are exposed to industrial activity, customer capital spending, foreign exchange, and end-market conditions. The filing notes that IDEX Optics and Photonics’ fair value was approximately 10% above carrying value at the October 2013 goodwill test; management reported no interim impairment trigger in Q1. Asbestos-related lawsuits remain pending; most resolved claims were dismissed or settled for insignificant amounts, and insurance historically covered most settlements and legal costs, but future insurance coverage is uncertain. The company did not expect these or other ordinary-course legal proceedings to have a material adverse effect. On April 28, 2014, after quarter-end, IDEX acquired Aegis Flow Technologies for approximately $26 million in cash; Aegis had annual revenue of approximately $15 million.

Important facts for investors to verify

  • Whether the large dispensing order’s contribution to Fire & Safety/Diversified Products growth and margins is repeatable.
  • Progress against the 4%–5% organic growth outlook and full-year diluted EPS guidance of $3.38–$3.45.
  • Working-capital conversion and cash generation, given increased receivables and inventories.
  • Debt levels, covenant headroom, and the company’s capital allocation among acquisitions, dividends, and repurchases.
  • Any change in IDEX Optics and Photonics’ outlook or impairment indicators, and developments in asbestos claims or insurance coverage.
  • Integration and performance of Aegis Flow Technologies, acquired after quarter-end.
