- Operating expenses increased 22.7% to $340.6 million, faster than revenue. Compensation and benefits rose 22.8%; intangible amortization rose 56.5%, partly reflecting recent acquisitions. Adjusted EBITDA margin declined 1.8 percentage points year over year.

Outlook, risks and unusual items
- The filing provides no specific revenue, earnings or margin guidance. Management said available cash, operating cash flows, and financing access are expected to fund operating needs and commitments for at least the next 12 months and thereafter.
- The $1.25 billion revolving facility matures in 2029; $336.9 million was drawn at quarter-end. Reported leverage and interest-coverage ratios were 2.56x and 9.16x, respectively, versus covenant limits of 4.25x maximum leverage (with a specified acquisition exception) and 4.00x minimum interest coverage. The revolver rate was 6.93% at quarter-end.
- Q1 effective tax rate was 13.5%, including $20.2 million of favorable discrete tax items. Management said unrecognized tax benefits may decrease by approximately $22.1 million within 12 months as tax matters are resolved. Tax authorities are examining or may examine multiple years and jurisdictions.
- Other expense included a $1.5 million debt-extinguishment loss related to refinancing the term loan with revolver borrowings. Legal claims and proceedings arise in the ordinary course; management did not expect currently pending matters to have a material effect, while noting outcomes remain uncertain.
- Key exposures include reliance on asset-based fees and market levels, customer concentration (BlackRock represented 10.0% of revenue), foreign exchange movements, subscription cancellations and renewals, and acquisition integration. Management reported no material changes to the risk factors in the 2023 Form 10-K.
