Business Context and Reporting Period
NCR Atleos Corporation filed this unaudited Form 10-Q for the three months ended March 31, 2024. Atleos provides self-directed banking solutions, including ATM and interactive teller machine hardware, software, services, ATM-as-a-Service and the Allpoint network. Its reportable segments are Self-Service Banking, Network, and Telecommunications & Technology.
Atleos became a standalone public company following its October 16, 2023 spin-off from NCR Voyix. The March 31, 2023 results are historical carve-out results and include allocations of NCR corporate and shared costs; therefore, year-over-year comparability may be limited.

Product revenue increased 3% to $240 million, while service revenue increased 8% to $810 million. Service revenue represented 77.1% of total revenue. Gross margin was pressured by lower margins on services provided under commercial agreements with Voyix, higher vault-cash rental costs and increased acquisition-related amortization.
Segment revenue was $628 million for Self-Service Banking, $310 million for Network and $51 million for T&T. Segment Adjusted EBITDA was $134 million, $86 million and $10 million, respectively. Network Adjusted EBITDA increased 15%, while Self-Service Banking Adjusted EBITDA declined 4% and T&T was flat.
Liquidity, Debt and Balance Sheet
- Cash and cash equivalents were $343 million at March 31, 2024, compared with $339 million at December 31, 2023. Total cash, cash equivalents and restricted cash were $607 million.
- Total debt was $3,018 million, consisting of $80 million of short-term borrowings and $2,857 million of long-term borrowings reported on the balance sheet. Debt included $1,350 million of 9.500% senior secured notes due 2029, $1,567 million outstanding under term facilities and $93 million drawn on the revolving facility.
- Available borrowing capacity under the revolving credit facility was $382 million, with $25 million of letters of credit outstanding.
- Accounts receivable increased to $742 million from $714 million, while the allowance for credit losses increased to $19 million from $14 million.
- The trade receivables facility had approximately $166 million of receivables sold and derecognized at quarter-end.
- Operating cash flow benefited from working-capital movements and included approximately $32 million temporarily transferred from Voyix in March; the funds were remitted to Voyix in April.
Management stated that available cash, operating cash flow, revolver capacity and access to capital markets provide adequate liquidity for current and long-term material cash requirements, capital expenditures and investment opportunities. The company expects to use cash flow to invest in the business and repay debt over time.
Material Changes Versus the Prior Comparable Period
- Revenue grew 6%, primarily from recurring service streams, ATM-as-a-Service growth, transaction processing and commercial-agreement revenue with Voyix.
- Approximately $13 million of Q1 2024 revenue was adversely affected by the delayed transfer of seven legal entities following the separation. Three entities transferred during Q1 and the remaining entities were expected to transfer in Q2.
- Service revenue benefited from approximately $26 million of higher hardware maintenance and installation revenue, $12 million of higher ATM-as-a-Service revenue and $9 million of higher transaction-processing revenue.
- Product revenue benefited from approximately $25 million of revenue under Voyix commercial agreements but was partly offset by declines in non-core commerce, ATM hardware, Bitcoin-related revenue and ATM software licenses.
- Interest expense increased to $79 million from none in the prior-year period because Atleos incurred external debt after the spin-off. This increase drove the shift from pretax income of $62 million to a pretax loss of $4 million and net loss of $8 million.
- Adjusted EBITDA increased despite the reported net loss, reflecting the exclusion of interest expense, amortization, stock compensation, separation costs and other adjustments.
- Q1 2024 separation costs were $9 million, and management expects separation-related costs to continue through at least fiscal 2024.
Guidance, Outlook, Risks and Unusual Items
The filing does not provide specific quantitative full-year revenue, earnings or cash-flow guidance. Management continues to emphasize a transition toward software-led, recurring-revenue solutions, growth in ATM-as-a-Service and cash generation. The company expects seasonality, with generally lower revenue and transaction volumes in the first quarter and stronger activity during warmer months and travel periods.
- Macroeconomic and geopolitical pressures include higher interest rates, commodity, energy and logistics costs, foreign-exchange volatility, supply-chain challenges and uncertainty in the banking sector. Management expects some effects to continue at least in the short term.
- Interest-rate exposure remains material. A hypothetical 100-basis-point increase in variable rates would have increased quarterly variable-debt interest expense by approximately $4 million and vault-cash rental expense by approximately $10 million, before considering applicable swaps.
- The company had approximately $3.0 billion of debt and is subject to leverage covenants. The maximum consolidated total debt-to-EBITDA ratio is 4.75:1 through September 30, 2024, stepping down to 4.50:1 and then 4.25:1, subject to specified acquisition adjustments and a 5.00:1 cap.
- Atleos shares certain environmental liabilities with Voyix. Voyix estimated Atleos’s 2024 contribution for shared environmental matters at approximately $2 million, payable in Q4 2024; no accrual was recorded because the loss was considered reasonably possible but not probable.
- Atleos remains exposed to the Kalamazoo River environmental matter. Voyix reported a total reserve of $142 million at March 31, 2024, but the ultimate allocation and Atleos’s liability remain uncertain.
- The Network reporting unit had less than 10% fair-value cushion over carrying value at the prior annual goodwill assessment, although no Q1 2024 triggering event requiring further evaluation was identified.
- Management reported no cybersecurity threat that had materially affected or was reasonably anticipated to materially affect the company as of the filing date. No material changes were reported to the risk factors in the 2023 Form 10-K.
Investor Verification Priorities
- Verify the sustainability of recurring-revenue growth and the pace of the shift toward ATM-as-a-Service and software subscriptions.
- Assess whether commercial-agreement revenue with Voyix and separation-related effects distort underlying revenue and margin trends.
- Monitor leverage, interest expense, covenant compliance, refinancing needs and the limited $382 million of revolver availability relative to total debt.
- Reconcile operating cash flow and Adjusted free cash flow-unrestricted, including restricted settlement cash and the temporary $32 million Voyix transfer.
- Track the transfer of the remaining legal entities and determine whether the estimated $13 million revenue impact is recovered in subsequent quarters.
- Evaluate the effect of higher vault-cash costs, foreign-exchange movements, supply-chain pressures and macroeconomic conditions on margins.
- Review potential environmental, indemnification, tax and separation liabilities, including the shared Kalamazoo River obligations.
- Compare non-GAAP Adjusted EBITDA with GAAP earnings and cash flow, particularly given the $79 million quarterly interest expense and $9 million of separation costs.
