Material changes and operating trends

  • Owned and managed portfolio occupancy was 97.0% at March 31, down from 97.6% at December 31, 2023.
  • Rent change on leases commenced in Q1 was 67.6% on a net effective basis for Prologis’ ownership share. Same-store property NOI increased 4.1% net effective and 5.7% on a cash basis.
  • Development starts increased to seven buildings with $271 million of total expected investment, from two buildings and $59 million in Q1 2023. Stabilizations had an estimated weighted average margin of 9.8%, compared with 37.3% in the prior-year quarter.
  • The consolidated development portfolio had $7.5 billion of total expected investment, was 39.3% leased and had $3.1 billion of estimated remaining spend at quarter-end.
  • Interest expense rose to $193 million from $136 million, principally reflecting debt issuance and higher rates on new issuances and credit facilities.

Outlook, risks and unusual items

  • Management expects some customer leasing decisions to be delayed over the next several quarters amid economic and geopolitical uncertainty. It sees long-term organic rental growth potential from the estimated 50% lease mark-to-market on its share of the owned and managed portfolio.
  • The filing provides no clear numeric company-wide earnings or revenue guidance for 2024 in the supplied text. Management says operating cash flow, venture distributions, property contributions and dispositions, cash and financing sources are expected to meet anticipated needs, subject to market conditions.
  • Q1 included $40 million of gains on development property and land dispositions, primarily a contribution to a European co-investment venture, and $18 million of gains on other real estate dispositions. Foreign currency, derivative and other gains and income were $64 million, versus $9 million a year earlier.
  • In Q1, Prologis issued approximately $1.9 billion of senior notes, extinguished a $500 million U.S. dollar term loan and established a $1.0 billion commercial paper program; no commercial paper was outstanding at March 31. The company reported compliance with all debt covenants.
  • Key risks include interest-rate and refinancing conditions, foreign exchange exposure, economic and geopolitical uncertainty, development and acquisition execution, co-investment venture performance and capital availability, and maintaining REIT status. A 10% weakening of the U.S. dollar against relevant currencies could result in a $173 million cash settlement on outstanding undesignated foreign currency contracts, according to the filing’s sensitivity analysis.
  • Performance and surety bonds, standby letters of credit and guarantees totaled $581 million outstanding. Prologis reported ordinary-course legal proceedings and stated their disposition is not expected to materially adversely affect the business. No material risk-factor changes from the 2023 Form 10-K were reported.

Most important facts for investors to verify

  • Whether occupancy stabilizes and leasing activity converts to signed leases, given management’s warning of delayed customer decisions.
  • How much of the large rent mark-to-market can be realized over time, and whether occupancy and same-store cash NOI trends hold.
  • Development leasing, costs, margins and remaining funding needs, including the $3.1 billion estimated spend on the current consolidated pipeline.
  • Debt costs and refinancing exposure as maturities approach, alongside the company’s liquidity and planned capital deployment.
  • Co-investment venture distributions, commitments and performance, as well as the effect of foreign currency movements and disposition gains on reported results.
