Balance sheet, debt and capital
- Total assets were $553.7 million, total liabilities $254.4 million, and total equity $299.3 million at September 30, 2023.
- Principal indebtedness was $233.0 million: $200.0 million of term loans and approximately $33.0 million of secured borrowings. The revolving facility was undrawn. Term loans carry floating-rate benchmarks but the company reported $200.0 million of swaps fixing the SOFR component; it stated that no debt was variable-rate after hedging at quarter-end.
- Debt maturities include $75.8 million in 2027; the weighted-average debt maturity was approximately 4.6 years. The company reported compliance with all credit-facility covenants.
- The ATM offering capacity was increased to $150 million; approximately $117.3 million remained available at September 30. Nine-month issuance generated $20.7 million net proceeds. Shares outstanding increased from 19.5 million at year-end 2022 to 21.5 million at September 30, 2023.
- The company declared and paid dividends of $0.2375 per share or unit quarterly during the first three quarters. A further $0.2375-per-share dividend was declared in October, payable November 30, 2023.
Material changes, outlook and risks
- The company acquired 148 properties for approximately $58.4 million, including closing costs, during the first nine months. After quarter-end, it acquired six more properties for approximately $1.9 million and had definitive agreements for 19 additional properties, subject to closing.
- At September 30, 51 properties had expired leases and USPS holdover occupancy. By October 30, the count was 60 properties, representing approximately 522,000 square feet. Holdover rent is generally the greater of estimated market rent or the prior lease rent. Management anticipates renewals but gives no assurance of renewal terms or timing. One USPS lease termination was noticed for February 2024.
- Management provided no numeric earnings or acquisition guidance. It expects to fund liquidity needs through operating cash flow, cash, credit facilities and potential securities issuance, and continues to pursue postal-property acquisitions. It cautions that acquisition activity and access to capital depend on market conditions and lease terms.
- Key exposure is dependence on the USPS as the primary tenant, including USPS financial health, service demand, facility closures or consolidations, and lease renewals. Pennsylvania represented 13.5% of nine-month rental income. Average remaining lease term was approximately 3.2 years.
- Rising interest rates and inflation may pressure interest and property costs; management notes that many leases have fixed rent, while landlord-paid expenses can rise. Other reported risks include REIT qualification, access to financing, property maintenance, and weather, environmental and cybersecurity events.
- Other income primarily reflects insurance recoveries: $0.5 million for nine months versus $0.7 million in 2022. No impairment charges or material litigation were reported. Interest-rate swap fair-value gains contributed to other comprehensive income; they are not equivalent to operating earnings.
- Disclosure controls were assessed as effective, and the company reported no material change in internal control over financial reporting during the quarter.
