RXO, Inc. quarterly report, Q1 FY2023

RXO, Inc. 10-Q Summary

Business context and reporting period

Unaudited results cover the three months ended March 31, 2023. RXO operates a single reportable segment comprising asset-light truck brokerage, last mile, managed transportation and freight forwarding services. RXO completed its separation from XPO on November 1, 2022; the prior-year period reflects historically combined results and allocated XPO corporate costs, so comparability may be affected.

Cost of transportation and services declined to $759 million, or 75.1% of revenue, from $1.021 billion, or 77.8%, primarily reflecting lower last-mile transportation costs and improved freight-forwarding mix. Direct operating expense increased to $61 million, or 6.0% of revenue, from $55 million, or 4.2%. SG&A declined to $153 million but increased to 15.1% of revenue from 12.3%, reflecting deleverage and incremental standalone-public-company costs. Transaction and integration costs were $6 million, and restructuring costs were $8 million, primarily severance.

Cash and cash equivalents were $121 million at March 31, 2023, compared with $98 million at December 31, 2022. Total current assets were $1.029 billion and total current liabilities were $820 million. Total debt and finance-lease obligations had a $464 million principal balance and $455 million carrying value, including $100 million of term debt and $355 million of 7.50% notes due 2027. No revolver borrowings were outstanding, and the company reported compliance with all debt covenants. The $500 million revolving facility remained available, subject to its terms.

Material changes versus the prior comparable period

  • Truck brokerage revenue decreased $224 million, primarily because revenue per load declined 32%, partially offset by a 6% volume increase.
  • Freight-forwarding revenue decreased $59 million because of lower ocean rates and volume.
  • Revenue declined across most service offerings: truck brokerage to $600 million from $824 million, managed transportation to $117 million from $139 million, and freight forwarding to $80 million from $139 million. Last-mile revenue was $240 million versus $246 million.
  • Interest expense increased to $8 million following the post-separation financing structure.
  • Restructuring costs increased from none to $8 million; the remaining $8 million restructuring liability was expected to be substantially paid within twelve months.
  • Operating cash flow decreased 59.2%, primarily due to lower earnings and less favorable working-capital changes, including a $30 million reduction in cash generated by accrued expenses and other liabilities.
  • Financing cash outflows were $8 million versus $74 million in the prior-year period, when cash transfers to XPO were the principal use.

Guidance, outlook, commentary, risks and unusual items

The filing does not provide explicit quantitative earnings or revenue guidance. Management stated that existing liquidity and capital sources are sufficient to support operations for the next 12 months and that capital expenditures are discretionary in timing and amount.

Management cited economic activity, recession risk, inflation, interest rates, fuel, wage and other operating costs, pricing competition, supply-chain conditions and potential COVID-19 effects as factors that could affect results. The company is exposed to foreign-currency, commodity-price and interest-rate risk.

RXO faces legal proceedings involving transportation claims, commercial and employment matters, and last-mile worker misclassification claims. RXO indemnified XPO for certain liabilities relating to the misclassification claims. The company believes the claims are without merit, but stated that it cannot estimate any possible loss or range of loss. An unfavorable resolution could materially affect financial condition, results or cash flows.

As a subsequent event, on May 2, 2023, the board authorized a share-repurchase program of up to $125 million with no expiration date. The company is not required to repurchase any shares. On May 3, 2023, management signed the filing. Disclosure controls were assessed as effective, with no material changes in internal control over financial reporting.

Facts investors should verify

  • Whether truck brokerage volume growth and pricing recovery can offset the 32% year-over-year decline in revenue per load.
  • The sustainability of the 0.5% operating margin after restructuring, transaction costs and standalone-company expenses.
  • Cash conversion and working-capital trends, particularly accrued transportation charges and accounts receivable.
  • Interest-rate exposure and liquidity relative to the $464 million debt principal balance and 2027 maturities.
  • The potential financial exposure from last-mile worker misclassification litigation, which the filing does not quantify.
  • Whether the authorized $125 million share-repurchase program is executed and how it affects liquidity and leverage.
