Consolidated revenue increased 3%, while gross profit declined 3%. Gross margin contracted as vehicle gross profit weakened. Net income improved in part because impairment charges fell to $79.3 million from $320.4 million in 2022. Adjusted EBITDA, a non-GAAP measure, was $602.3 million versus $738.5 million.

Cash used in operations reflected, among other items, a $375.2 million increase in inventories. Management notes that floor-plan financing classification affects reported operating cash flow: if all floor-plan balance changes were classified as operating activities, operating cash flow would have been $319.2 million in 2023 versus $340.2 million in 2022.

Segments and material changes

  • Franchised Dealerships: Revenue was $11.77 billion, up 3%; segment income was $448.0 million, down 30%. Same-store retail new-vehicle revenue rose 12%, but gross profit fell 21%; gross profit per retail new vehicle declined 27% to $4,849, amid increased inventory, acquisition costs, and price competition. Fixed Operations gross profit rose 9% on an 8% revenue increase.
  • EchoPark: Revenue was $2.43 billion, down 1%, and segment loss was $132.5 million, compared with a $133.9 million loss. Same-market revenue and gross profit grew 55% and 85%, respectively, but reported combined used-vehicle and F&I gross profit per retail unit declined 18% to $2,183. Retail used-vehicle gross profit was negative $17.1 million.
  • Powersports: Revenue increased to $163.2 million from $53.5 million, largely reflecting acquisitions; segment income was $5.7 million. Reported new-vehicle inventory stood at 183 days’ supply, above management’s typical 90–120-day range.

Liquidity, debt and capital allocation

Year-end cash was $28.9 million, down from $229.2 million. Reported available liquidity resources totaled $845.5 million, including $298.6 million available under the revolving facility, $173.0 million under the mortgage facility (subject to collateral appraisal and pledging), and a $345.0 million floor-plan deposit balance. The deposit is classified as a current asset and is used to reduce floor-plan interest expense.

Total indebtedness was approximately $3.3 billion, including $1.67 billion of floor-plan notes and $1.68 billion of total long-term debt before debt issuance costs and current-maturity classification. Floor-plan interest rates rose materially: the weighted-average rate for new and used vehicle floor-plan facilities was 6.52% in 2023 versus 3.31% in 2022. The company reported covenant compliance at year-end; actual consolidated liquidity, fixed-charge coverage, and lease-adjusted leverage ratios were 1.25, 1.93, and 2.97, respectively, against required levels of at least 1.05 and 1.20 and no more than 5.75.

Capital expenditures were $203.6 million, funded with operating cash. Sonic repurchased approximately 3.3 million Class A shares for $177.6 million and paid $1.16 per share in dividends during 2023. Remaining repurchase authorization was $286.7 million.

Outlook, risks and unusual items

  • Management estimated 2024 U.S. total new-vehicle industry volume of 15.5–16.0 million units, flat to up 3% from 2023; this is an industry estimate, not company earnings guidance. Management expected Fixed Operations revenue and gross profit to continue growing in 2024.
  • Management said supply-chain disruptions and production delays were expected to continue affecting vehicle inventory in 2024. Results remain exposed to consumer affordability, interest rates, credit availability, vehicle pricing and inventory values, manufacturer supply and incentives, and competition.
  • In 2023 Sonic announced indefinite suspension of eight EchoPark locations and 14 related delivery/buy centers, and closed three Northwest Motorsport locations. Related charges included $79.3 million of impairment charges overall and other closure costs. The remaining seven Northwest Motorsport stores closed in January 2024.
  • Other significant exposures include debt and lease covenants, variable-rate borrowing, franchise/manufacturer dependence, potential legal and environmental liabilities, and possible withdrawal liability related to a multiemployer pension plan. The filing reports no significant legal-matter liabilities at year-end. The pension plan received approval for approximately $1.1 billion in federal special financial assistance, but the company warns that future withdrawal or other adverse events could still produce a substantial assessment.
  • The 2023 financial statements received an unqualified audit opinion, and the auditor reported effective internal control over financial reporting. The auditor identified no critical audit matters.
