Q2 net sales increased 49.3%; management attributed the increase to $316.9 million of organic growth, $19.6 million of acquisition-related sales and $20.6 million of favorable currency translation. For the first six months, sales rose 33.6%, including 28.4% organic growth. Q2 operating margin, measured against net sales plus financial services revenue, increased to 24.5% from 18.4%. The six-month rate was 24.2%, up from 19.7%.

Cash and equivalents were $965.9 million at July 3, 2021, versus $923.4 million at fiscal year-end. Working capital was $1,927.6 million. Total debt carrying value was approximately $1,450.6 million, including $268.1 million current and $1,182.5 million long-term. An $800 million revolving credit facility had no borrowings outstanding. The company reported covenant ratios of 0.11 and 0.44, within permitted limits.

Six-month investing cash outflow was $236.9 million, including $195.8 million net acquisition spending and $37.6 million of capital expenditures. Financing cash outflow was $278.9 million, including $289.3 million of share repurchases and $133.4 million of dividends, partly offset by $154.8 million of proceeds from stock purchase and option plans. The declared dividend was $1.23 per share for the quarter.

Material changes versus the comparable period

  • Profitability improved substantially as sales recovered from the pandemic-affected 2020 comparison and margins benefited from higher volume and continuous-improvement initiatives. The prior-year periods included $4.0 million of Q2 and $11.5 million of six-month exit and disposal costs; none were recorded in the 2021 periods.
  • All three operating groups reported higher Q2 sales and operating earnings. Snap-on Tools Group sales rose 49.7%; Repair Systems & Information Group sales rose 62.7%; Commercial & Industrial Group sales rose 33.8%.
  • Financial services revenue increased modestly, while financial services operating earnings increased to $68.9 million from $57.6 million in Q2, mainly reflecting lower credit-loss provisions. The 2020 six-month comparison included a $2.6 million COVID-related credit-reserve charge.
  • Operating cash flow rose $90.5 million year over year, primarily due to higher earnings, partly offset by less favorable changes in operating assets and liabilities.
  • Acquisitions included Dealer-FX, purchased in February for $200.1 million, and the July 1 exchange that gave Snap-on full ownership of Pradines. Goodwill increased to $1,177.6 million, including preliminary acquisition goodwill.

Outlook, commentary and risks

Management did not provide full-year revenue or EPS guidance. It expects continued progress in growth initiatives and projected 2021 capital expenditures of $90 million to $100 million; $37.6 million had been incurred in the first half. The expected full-year effective tax rate was 23% to 24%.

Management said COVID-19 effects had lessened and first-half COVID-related costs were not significant, but the pandemic’s duration and economic effects remained uncertain. It reported no material pandemic disruption to supply chain or distribution at the time of filing, while noting future impacts could not be assured. Management cited risks including economic weakness, inflation and input costs, interest and currency movements, acquisitions and integration, operational efficiency, supply-chain disruption, cybersecurity, litigation and credit losses. Legal matters were described as ordinary-course matters not expected to have a material impact. No off-balance-sheet arrangements were reported.

The $250 million of 6.125% notes classified as current matured September 1, 2021. Management believed available cash, operating cash flow and credit access could fund expected needs, but cautioned that future financing availability, terms and credit ratings were not assured. Goodwill purchase accounting for Dealer-FX and Pradines remained preliminary; annual impairment testing in Q2 found no impairment.

Important facts for investors to verify

  • Confirm the intended reporting period: this filing reports Q2 2021, not Q2 2020.
  • Track repayment or refinancing of the $250 million notes due September 2021 and subsequent liquidity and debt levels.
  • Assess whether the sharp year-over-year growth and margin expansion persist against less pandemic-distorted comparisons, including organic growth and foreign-currency effects.
  • Review credit performance and allowance trends in the finance and contract receivables portfolios.
  • Monitor integration, purchase accounting and potential impairment risk for Dealer-FX and Pradines, as well as acquisition-related costs and goodwill.
  • Compare actual capital spending, repurchases and dividends with cash generation and management’s stated outlook.
