Material changes and notable items

  • Revenue increased about 6.7% year over year, led by higher loan interest income. Interest expense also rose, to $356.0 million from $335.3 million.
  • Net income included a roughly $92.0 million gain from selling 16 retail properties in the Master Lease Portfolio. The sale generated $188.0 million in net proceeds after selling costs and debt assumed by the purchaser.
  • Net gains on derivatives were $101.9 million, compared with a $32.8 million loss in Q1 2023. The quarter also included a $41.9 million net foreign-currency loss and a $29.0 million fair-value loss on mortgage loans.
  • Credit loss provision was $35.8 million, versus $43.2 million a year earlier. Management said its Q1 2024 allowance reflected more adverse modeled macroeconomic forecasts for office and retail loans.
  • Loan principal collections were $1.22 billion, while originations, purchases and funding of held-for-investment loans were $265.2 million. Net loans held-for-investment fell during the quarter.

Outlook, risks and contingencies

  • Management said it believes available liquidity and access to additional liquidity are sufficient for at least the next 12 months. It expects to address near-term financing maturities through normal-course cash generation, extensions or replacement financing, and other funding sources.
  • The maturity schedule shows projected net financing outflows of about $912 million in Q4 2024 and $1.09 billion in Q1 2025. Management attributed these shortfalls mainly to maturing unsecured notes, Medical Office Portfolio debt, and facilities it expects to extend with lender consent. After quarter-end, it priced a refinancing of the Medical Office Portfolio debt, with $490 million of new senior and mezzanine financing.
  • Management noted that elevated interest rates can increase income, all else equal, but may also pressure borrowers, collateral cash flows and property values. It highlighted office-sector weakness related to remote work and retail-sector pressure from e-commerce.
  • At March 31, $427.9 million of loans were at least 90 days past due and on nonaccrual. A further $191.8 million of loans were on nonaccrual but not 90 days past due. Three modified commercial loans had a combined amortized cost of $650.8 million; modifications included extensions, interest-rate relief and additional funding commitments.
  • Commercial loan funding commitments totaled $1.4 billion, of which management expected to fund $1.1 billion; infrastructure commitments totaled $183.2 million. A guarantee of approximately $70 million relates to a performing Los Angeles loan; management said foreclosure was not considered probable and recorded no liability.
  • In May 2024, the company completed a $400 million infrastructure-loan CLO with $330 million of third-party financing. Management cautioned that results and fair values depend on economic conditions and estimates, and that forward-looking statements are subject to risks including borrower defaults, property-value declines, interest rates and liquidity access.

Important facts for investors to verify

  • How much of reported earnings and Distributable Earnings is attributable to the property-sale gain, derivative results and other realized or non-cash adjustments.
  • Performance, collateral values and recovery prospects for nonaccrual, past-due and modified loans—especially office exposures—and the adequacy of credit loss allowances.
  • Progress in refinancing or extending 2024–2025 maturities, availability of borrowing capacity, and any related liquidity or collateral requirements.
  • Whether the $0.48 quarterly dividend is supported by recurring cash generation and taxable income; Distributable Earnings is a non-GAAP measure and is not cash flow or liquidity.
  • Changes in Level III fair-value estimates and the potential impact of interest-rate, credit-spread, foreign-exchange and property-market movements.
