Material changes versus the prior comparable periods

Losses narrowed in both the quarter and six-month period, primarily from lower Ambler Metals losses and lower company professional fees and stock-based compensation and salaries. Ambler Metals’ lower losses reflected reduced staffing and mineral-property activity, partly offset by higher professional fees. Trilogy attributed lower operating cash use partly to payment timing for annual insurance premiums, paid in June.

Outlook, commentary, risks and unusual items

  • Trilogy’s fiscal 2024 cash budget is $2.8 million; it used $1.1 million in operating activities in the first six months. Management said it continues cash-preservation measures, including directors taking fees in deferred share units and senior management taking part of salaries in shares.
  • Ambler Metals’ 2024 budgets were $5.5 million for UKMP support and $2.5 million for the Ambler Access Project. In the first six months it spent $2.4 million on UKMP-related activities excluding access-project costs, and funded $1.1 million to AIDEA for the access project. After a further $25 million distribution to owners in June, Ambler Metals reported approximately $11 million of cash, which management said was sufficient for its fiscal-year budgets.
  • Major access-project risk: The BLM’s April Final Supplemental Environmental Impact Statement favored “No Action.” NANA announced in May it would withdraw from further involvement and not renew its surface access permit with AIDEA upon expiry. On June 28, after quarter-end, the BLM issued a Record of Decision selecting No Action, denying AIDEA’s right-of-way application and terminating its existing grant. This creates significant uncertainty around road access and project development.
  • On June 3, after quarter-end, Trilogy issued shares for approximately $153,000 of senior-management salaries and $82,668 of director fees to preserve cash. On June 10 it received a further $12.5 million return of capital from Ambler Metals.
  • The company reported no material current, pending or threatened litigation, no material changes to the risk factors in its 2023 Form 10-K, and no material off-balance-sheet arrangements. Management concluded disclosure controls were effective.
  • Forward-looking plans remain subject to permitting, infrastructure and financing risks; resource uncertainty; commodity-price volatility; weather and operating risks; and the possibility that the projects never reach production. Trilogy noted its Ambler Metals investment is subject to a judgmental impairment assessment; no impairment charge was reported in this filing.

Key facts for investors to verify

  • What legal, permitting or alternative-access options remain after the BLM’s June 28 decision, and what is the impact of NANA’s planned permit nonrenewal?
  • Whether Ambler Metals’ approximately $11 million post-distribution cash balance will cover approved budgets and any additional funding needs.
  • Whether the Ambler Metals investment’s $121.238 million carrying value remains recoverable as access and development plans evolve.
  • Actual cash expenditures against Trilogy’s and Ambler Metals’ fiscal 2024 budgets, including the timing and amount of further distributions or capital contributions.
  • Potential dilution: as of July 10, 19,616,475 additional shares could be issued upon conversion or exercise of outstanding options, RSUs, DSUs and related securities.
