VISTA GOLD CORP quarterly report, Q2 FY2022

Vista Gold Corp. — Q2 2022 Form 10-Q

Business context and reporting period. This unaudited filing covers the quarter and six months ended June 30, 2022. Vista is a gold-project evaluation and development company with no mining-operation cash flows or reported revenue. Its principal asset is the 100%-owned Mt Todd project in Australia; major operating and environmental permits have been received. In February 2022, Vista completed a feasibility study, and in March it appointed CIBC Capital Markets to assess strategic alternatives for Mt Todd.

Material changes and unusual items

  • Q2 net loss increased year over year, mainly because Q2 2021 included a $2.1 million gain from the Los Reyes royalty and back-in-right disposition; Q2 2022 had no comparable disposal gain. Exploration, property evaluation and holding costs fell to $0.984 million from $1.986 million in Q2 2021.
  • First-half net loss improved to $1.744 million from $3.852 million, principally reflecting a $2.883 million gain on the final Awak Mas royalty-cancellation payment, compared with a $2.1 million Los Reyes gain in first-half 2021. The Awak Mas payment was $2.5 million, and Vista has no remaining interest in that royalty.
  • Q2 2022 other income included a $0.240 million gain from reversing an environmental-liability provision after determining the related costs were neither probable nor reasonably estimable, and a $0.196 million cash recovery of value-added tax.
  • First-half operating cash outflow was lower than in 2021. Investing cash inflow was primarily the Awak Mas payment. Cash declined by $2.061 million during the first half.
  • At June 30, 2022, Vista had 118.1 million common shares outstanding. It sold 50,000 shares through its ATM program in Q2 for $51,000 net proceeds; $9.947 million remained available under the program.

Outlook, projects and risks

  • Management said existing working capital and potential future non-dilutive funding sources were expected to cover currently planned corporate expenses, project holding costs and discretionary programs for at least 12 months. Fixed corporate and Mt Todd care-and-maintenance costs were running at an estimated annualized $7 million; management expected to begin cost reductions in the second half of 2022. No production or earnings guidance was provided.
  • The 2022 Mt Todd feasibility study reported 6.98 million ounces of proven and probable reserves and a projected 16-year mine life, with average annual production of 479,000 ounces during the first seven operating years. These are study estimates, not production guidance. The study’s economics reflect cost inflation through mid-to-late 2021; management noted higher labor, reagent, grinding-media and power costs.
  • Vista completed 26 exploration holes totaling about 8,898 meters. Four areas were identified as conceptual targets with potential additional ounces; the filing cautions that they are not mineral resources and further exploration may not define resources.
  • Historical Mt Todd reclamation liabilities remain the responsibility of the Northern Territory government, but Vista would assume them after giving notice that it intends to proceed with development. The government’s current estimate is approximately A$73 million. The project also carries Jawoyn gross-proceeds royalties of 1.125% to 3.0%.
  • Key risks include securing a development partner or other financing on acceptable terms, raising additional capital, gold-price and foreign-exchange changes, inflation and cost escalation, permitting and development execution, resource-estimate uncertainty, environmental and reclamation obligations, and the recoverability of capitalized project costs. Vista expects to remain a passive foreign investment company (PFIC) for U.S. tax purposes.
  • The filing reported no material changes to the risk factors in the 2021 Form 10-K, no material pending or threatened litigation, no material contractual obligations, and no off-balance-sheet arrangements.

Important facts for investors to verify

  • Whether CIBC’s strategic process produces a partner, transaction or financing for Mt Todd, and on what terms.
  • Whether projected project economics remain viable under current and future costs, gold prices, exchange rates and financing assumptions.
  • The timing and potential amount of any reclamation obligations, including the stated A$73 million historical-liability estimate and other environmental contingencies.
  • How quickly cash is used, whether planned cost reductions are implemented, and whether additional ATM sales or other equity financing cause dilution.
  • Whether exploration targets can be confirmed through further drilling and converted into reportable mineral resources; the stated targets are conceptual and uncertain.
