Revenue declined 2.1% year over year. Reported operating expenses were $378.0 million, producing consolidated NOI of $210.2 million and an operating margin of approximately 48.2%, compared with approximately 48.7% in the prior-year quarter. Interest and debt expense increased to $90.5 million from $86.2 million, primarily because of higher average interest rates.

At March 31, 2024, assets totaled $16.2 billion, including $10.1 billion of net real estate and $2.6 billion of investments in partially owned entities. Total debt, before deferred financing costs and other adjustments, was $8.3 billion, consisting principally of $5.7 billion of mortgages and $2.6 billion of unsecured debt. Consolidated debt had a weighted average interest rate of 4.18%; management estimates that a 1% increase in base rates would reduce annual net income attributable to Vornado by approximately $9.8 million after noncontrolling interests.

Cash and cash equivalents were $892.7 million, and cash plus restricted cash totaled $1.149 billion. Management reported approximately $3.0 billion of liquidity at March 31, 2024, comprising approximately $1.1 billion of cash and restricted cash and $1.9 billion of availability under revolving credit facilities. Following a May 2024 facility extension, reported liquidity increased to approximately $2.7 billion.

  • Cash flow benefited from $11.7 million of interest income, compared with $5.7 million in the prior year, but the prior-year period included $197.3 million of Treasury-bill maturities, $105.0 million from repayment of a mortgage-loan participation, and a $7.5 million asset-disposition gain.
  • Other comprehensive income attributable to Vornado was $47.3 million, primarily reflecting a $48.2 million increase in the fair value of interest-rate hedges, versus a $57.8 million comprehensive loss in Q1 2023.

Guidance, outlook, commentary, risks and unusual items

The filing does not provide formal full-year earnings or FFO guidance. Management stated that cash flow from continuing operations over the next twelve months, together with cash on hand, is expected to fund operations, distributions, debt amortization and recurring capital expenditures. Vornado anticipates paying a common-share dividend for 2024 in the fourth quarter, subject to Board approval.

On May 3, 2024, one revolving facility was amended and extended to April 2029, with capacity reduced from $1.25 billion to $915 million. It currently bears interest at Term SOFR plus 1.20% and has a 25-basis-point facility fee. The other $1.25 billion facility matures in December 2027 and bears interest at Term SOFR plus 1.14%.

Subsequent events included the extension of the 280 Park Avenue mortgage, a $75 million refinancing of 435 Seventh Avenue, and the April 2024 sale of two 220 Central Park South condominium units for net proceeds of $31.6 million; four units remained unsold. Alexander’s, in which Vornado owns 32.4%, agreed to extend approximately 947,000 square feet of Bloomberg leases at 731 Lexington Avenue through February 2040.

Key operating and financial risks include elevated interest rates, refinancing risk, inflation, office-sector weakness, declining occupancy, tenant credit and leasing risk, construction and redevelopment cost overruns, asset valuation volatility, insurance availability and cost, environmental matters, and exposure under guarantees. Guarantees totaled approximately $1.177 billion at March 31, 2024, and construction commitments totaled approximately $70.6 million. The PENN 1 ground-lease rent reset remains unresolved and could materially differ from management’s estimate. Management reported no material changes to the risk factors in the 2023 Form 10-K.

Development projects include PENN 2, with estimated total development costs of $750 million and $659.1 million expended as of March 31, 2024; districtwide PENN District improvements estimated at $100 million; and the $350 million Sunset Pier 94 Studios project. Completion, timing and final costs are not assured.

Important facts for investors to verify

  • Reconcile GAAP net loss and declining FFO with same-store NOI, occupancy trends and higher interest expense.
  • Review debt maturities, variable-rate exposure, hedge expirations and compliance with revolving-credit financial covenants.
  • Assess whether approximately $2.7 billion of post-May liquidity is sufficient for development, leasing, capital expenditures, distributions and refinancing needs.
  • Monitor New York office leasing demand, mark-to-market rents, tenant improvements and leasing commissions.
  • Evaluate the remaining 220 Central Park South inventory and the effect of future condominium sales on earnings and cash flow.
  • Track PENN 2, PENN District, Pier 94 and 350 Park Avenue development obligations, funding requirements and execution risk.
  • Consider the potential effect of the PENN 1 ground-lease rent reset, insurance limitations, guarantees and historic tax-credit obligations.
  • Note that the interim financial statements received a review, not an audit, and that management concluded disclosure controls were effective.
