Excluding these investment-related items, reported net income is not directly comparable to operating performance.
Financial position, liquidity and debt
- Cash and cash equivalents were $403.9 million at March 31, 2024, versus $598.5 million at December 31, 2023.
- Cash, cash equivalents and available-for-sale investments totaled $964.1 million at quarter-end, down $278.5 million from year-end.
- Total assets were $3.62 billion and total stockholders’ equity was $1.82 billion.
- Convertible notes had a $690.0 million principal balance and a $677.9 million carrying value, with a 0.50% coupon and maturity in December 2027.
- The $200.0 million revolving credit facility had no borrowings; $192.5 million was available after $7.5 million of letters of credit. The facility includes an accordion feature up to $300.0 million, subject to lender approval.
- Management reported a net leverage ratio of negative 0.15 to 1.00 and an interest coverage ratio of 51.03 to 1.00, compared with covenants of no more than 3.50 to 1.00 and no less than 3.50 to 1.00, respectively.
- Investing cash outflows included $237.8 million for the Fusus acquisition, $9.1 million for a strategic investment and $16.2 million for property and equipment. Net cash decreased $194.7 million during the quarter.
Material changes versus the prior comparable period
- Revenue increased $117.7 million, supported by adoption of TASER 10, higher cartridge sales, growth in connected devices and users, and increased premium cloud features.
- GAAP gross margin declined because of higher stock-based compensation and related payroll taxes in cost of sales, plus amortization of acquired technology. Excluding those items, gross margin increased to 63.2% from 59.9%.
- Operating expenses increased 30.0% to $243.8 million, primarily due to higher personnel costs, stock-based compensation, sales and marketing costs, and Fusus-related transaction costs.
- Stock-based compensation increased to $75.1 million from $34.4 million, including $29.6 million recorded in cost of product and service sales.
- Operating cash flow remained negative, although the deficit improved from the prior year. Working-capital use included a $51.1 million increase in receivables and contract assets and an $84.3 million decrease in accounts payable, accrued and other liabilities.
- Goodwill increased to $308.5 million from $57.9 million and intangible assets increased to $89.4 million from $19.5 million, primarily due to the Fusus acquisition.
Guidance, outlook, commentary and risks
The filing does not provide a clear numeric full-year revenue or earnings guidance range. Management stated that it expects existing funding sources to satisfy anticipated cash requirements for at least the next 12 months.
- Remaining performance obligations were approximately $7.0 billion. Axon expects to recognize 15%–25% over the next 12 months and generally the remainder over the following ten years, subject to delayed deployments, budget appropriations and cancellation clauses.
- Management expects stock-based compensation in cost of sales to increase because of employee RSUs granted in January 2024 that generally vest over five years.
- On January 31, 2024, Axon acquired the remaining 79.7% of Fusus for approximately $241.3 million. Purchase accounting remains subject to revision during the measurement period.
- On April 30, 2024, Axon agreed to acquire the remaining interest in Dedrone for approximately $400.0 million, subject to customary adjustments, regulatory approval and other closing conditions. Axon currently owns approximately 20% of Dedrone.
- Material risks include government budget and appropriation constraints, contract cancellations, subscription-related delayed collections, cybersecurity or cloud outages, product liability and regulatory exposure, supply-chain constraints, foreign exchange, acquisition integration, investment-value volatility and potential dilution from convertible notes, warrants and equity compensation.
- Axon is defending product-liability lawsuits and a purported antitrust class action related to the Vievu acquisition; the Pennsylvania Attorney General has also requested information regarding that transaction. Management does not currently expect these matters to materially affect financial position, results or cash flows, but litigation outcomes remain uncertain.
- A hypothetical 100-basis-point increase in interest rates would reduce the fair value of the investment portfolio by approximately $1.5 million, before any realized sales.
Important facts for investors to verify
- Separate recurring operating performance from the $139.1 million of other income, including strategic-investment, Fusus remeasurement and Cellebrite gains.
- Assess the sustainability of the 63.2% adjusted gross margin and the effect of rising stock-based compensation on GAAP margins and dilution.
- Monitor conversion of the $7.0 billion performance-obligation balance into billings, revenue and cash, including government cancellation and appropriation risk.
- Review the cash impact, purchase accounting and integration progress for Fusus and the proposed $400.0 million Dedrone acquisition.
- Track negative operating cash flow, receivables and contract assets, deferred revenue, and the cash requirements of the subscription model.
- Evaluate the $690.0 million convertible notes, note hedge and warrants, including potential future dilution and liquidity requirements.
- Follow product-liability, antitrust and regulatory matters, including TASER 10 firearm-related requirements and the Vievu-related proceedings.
