Revenue growth reflected $9.6 million of pricing increases and $8.5 million of acquired Garvey revenue, partly offset by a $4.3 million volume decline and a $7.0 million unfavorable foreign-currency translation effect. Precision Conveyor Products revenue increased to $40.8 million from $34.2 million, while Engineered Products declined to $18.3 million from $20.0 million.

Gross profit benefited from pricing net of material inflation, the Garvey acquisition, product mix, productivity, and the absence of prior-year acquisition inventory step-up and integration costs. Selling expenses increased to $26.2 million, while general and administrative expenses decreased to $21.9 million from $30.1 million, primarily because prior-year Dorner acquisition and integration costs did not recur. Research and development spending increased to $5.1 million as the Company invested in new products.

The effective tax rate was 51% compared with 26% in the prior-year quarter. The current-quarter rate was adversely affected by a settlement of pre-acquisition STAHL tax assessments and a U.S. state tax valuation allowance. Management estimates a fiscal 2023 effective tax rate of approximately 29% to 30%.

Cash, cash equivalents, and restricted cash totaled $85.9 million at June 30, 2022, down $29.7 million from March 31, 2022. Operating cash usage was driven primarily by a $21.5 million increase in inventories related to supply-chain constraints, a $15.7 million reduction in accounts payable, and payments of accrued compensation and other liabilities. Total assets were $1.63 billion and shareholders’ equity was $775.2 million at quarter-end.

Debt, Liquidity, and Capital Allocation

  • The Term Loan B principal balance was $492.6 million at June 30, 2022; the balance included $75.0 million borrowed through the Garvey acquisition accordion feature.
  • The Company repaid $10.0 million of Term Loan B principal during the quarter and reported $460.8 million of term-loan and finance-lease obligations on the balance sheet, excluding the current portion.
  • Management plans to repay approximately $40.0 million of debt over the next 12 months, compared with $5.3 million of scheduled principal payments before any required excess-cash-flow payment.
  • No borrowings were outstanding under the $100.0 million revolving facility, although $17.2 million of letters of credit were outstanding.
  • Management believes cash on hand, operating cash flow, and available borrowing capacity will fund operations, debt obligations, and capital expenditures for at least the next 12 months, subject to execution of the business plan and effective working-capital management.
  • Fiscal 2023 capital expenditures are expected to range from $25 million to $30 million. A July 2022 dividend of $0.07 per share was declared, with an expected payment of approximately $2.0 million.

Material Changes and Unusual Items

  • The Company completed the Garvey acquisition in December 2021; Garvey contributed approximately $8.5 million of revenue and $3.1 million of gross profit in the current quarter. A $1.6 million final working-capital adjustment was paid during the quarter.
  • Prior-year results included $14.8 million of debt-refinancing costs, $8.3 million of Dorner acquisition and integration costs, and $3.0 million of Dorner acquisition-related inventory amortization that did not recur in the current quarter.
  • Other income of $2.3 million was primarily related to reimbursement from the former owner of STAHL for tax assessments. The reimbursement offset the related tax expense but contributed to the reported earnings improvement.
  • Foreign-currency translation reduced sales by $7.0 million, reduced gross profit by $2.5 million, and contributed to an $8.7 million other comprehensive loss.
  • Inventory increased to $189.3 million from $172.1 million at March 31, 2022, reflecting supply-chain constraints and higher raw-material costs.
  • No goodwill impairment indicators were identified during the quarter. Goodwill totaled $641.0 million and other intangible assets totaled $378.4 million at June 30, 2022.

Outlook, Risks, and Contingencies

Management is pursuing pricing, productivity, business simplification, operational-excellence, and new-product initiatives intended to improve operating margins and return on invested capital. The Company stated that it has generally recovered higher raw-material, freight, and logistics costs through pricing, but cautioned that it may not be able to pass through future cost increases.

Key operating risks include global supply-chain disruptions, raw-material availability and inflation, foreign-currency volatility, rising interest rates, acquisition integration, economic conditions in customer industries, competition, and demand variability. Quarterly results may also be affected by large order timing, acquisitions, currency movements, legal settlements, and marketable-security gains or losses.

Net asbestos-related liability was estimated at approximately $7.7 million, net of insurance recoveries, within an estimated aggregate range of $5.8 million to $10.6 million. Approximately $2.4 million of asbestos-related payments are expected over the next 12 months. Product-liability reserves were approximately $5.1 million, and environmental reserves totaled $0.8 million. The Company stated that known litigation and environmental matters are not expected to materially affect financial condition or liquidity, although future liabilities could materially affect earnings.

Magnetek remains involved in Italian tax proceedings and disputes involving Monsanto indemnification claims. The Company cannot reasonably estimate a loss range for the Monsanto matter and believes it has meritorious defenses. The Italian Supreme Court remanded certain tax assessments for further proceedings; management does not expect a liability related to those assessments.

  • Garvey and Dorner revenue, margin contribution, integration costs, and any acquisition-related contingencies.
  • Whether the projected 29% to 30% fiscal 2023 effective tax rate is achieved, including the impact of state valuation allowances and prior-period tax matters.
  • Potential goodwill impairment if revenue growth, margins, or discount-rate assumptions deteriorate.
  • Developments in asbestos, product-liability, Monsanto, Italian tax, and environmental matters, including insurance recoveries and future cash payments.
  • The effect of foreign-currency movements on reported revenue, earnings, and accumulated other comprehensive loss.
