- For Q4 2015, revenue was $734.6 million versus $721.0 million; operating income was $113.9 million versus $112.3 million; net income was $72.2 million versus $69.9 million; and diluted EPS was $0.85 versus $0.81.
Balance sheet, debt and liquidity
- At year-end, cash and cash equivalents were $11.5 million, total assets $2,466.5 million, current liabilities $285.4 million and shareholders’ equity $1,684.6 million.
- Total debt, including current maturities and capital leases, was $133.8 million, down from $155.7 million. This comprised $120.0 million of senior notes, $12.3 million drawn on the revolving facility and $1.5 million of capital lease obligations. The company had $25.0 million of senior-note principal due within twelve months.
- A new five-year, $250 million unsecured revolving credit agreement was entered into in December 2015. Available borrowing capacity at year-end was $170.0 million after outstanding borrowings and letters of credit. The company reported compliance with debt covenants.
- Net capital expenditures were $441.2 million, versus $345.8 million in 2014. Share repurchases totaled $114.1 million during 2015; $80.4 million remained authorized under the program. No dividends were paid.
Changes, outlook and risks
- Management attributed growth to market-share gains and higher shipment volume, with increased freight density and operational efficiency supporting a 100-basis-point operating-ratio improvement. Management reported the sixth consecutive year of at least 100 basis points of operating-ratio improvement.
- Salary, wage and benefit expense increased 13.6%, reflecting workforce growth, wage increases and higher benefit costs. Management said group health costs rose in Q4 and expected the trend to continue into 2016.
- Management estimated 2016 capital expenditures of approximately $440 million: about $180 million for service-center properties and construction, $220 million for tractors and trailers, and $40 million for technology and other assets. Funding was expected primarily from operating cash flow, cash and the revolving facility. The filing gives no specific 2016 revenue or earnings guidance.
- Key exposures include economic and freight-demand weakness, competitive pricing, driver availability and compensation, fuel-price volatility and surcharge recovery lags, insurance claims, significant ongoing capital needs, weather, regulation and cybersecurity. The company does not hedge diesel fuel; fuel surcharges may not fully or promptly offset cost changes.
- Certain hours-of-service restart provisions remained temporarily suspended pending review; their eventual implementation could reduce driver productivity and raise costs. The company said it already used electronic logging devices in its company-owned vehicles and did not expect the new ELD mandate to have a significant impact.
- Routine litigation included some class-action allegations; management did not expect resolution to materially affect financial position, results or cash flows. The filing reports an unqualified audit opinion and effective internal control over financial reporting.
Investor verification priorities
- Check whether shipment growth and market-share gains persist, particularly given the 3.8% decline in weight per shipment and softer domestic conditions.
- Track base-rate/yield performance separately from fuel surcharges, and assess how fuel-price changes and recovery lags affect margins.
- Compare realized 2016 capital spending with the approximately $440 million estimate, and evaluate returns on network and fleet investment.
- Monitor driver and health-benefit costs, labor productivity, service levels and the effects of any final hours-of-service rules.
- Review available revolver capacity, debt maturities, covenant headroom, insurance reserves and the cash demands of ongoing share repurchases.
