ADT Inc. — Q1 2024 Form 10-Q
Reporting period: Three months ended March 31, 2024. ADT provides security, monitoring, interactive and smart-home services to U.S. consumers and small businesses. It reported approximately 6.4 million monitoring subscribers and two segments: Consumer and Small Business (CSB) and Solar. Comparisons below are with Q1 2023 unless stated otherwise; dollar amounts are in millions.
Financial performance and liquidity
- Revenue: $1,209.3, down $68.0 (5.3%). Monitoring and related services rose 3.3% to $1,062.7; security installation and other revenue rose 22.3% to $127.0. Solar revenue fell to $19.6 from $144.8, reflecting the exit plan.
- Profitability: Operating income was $195.5 versus an operating loss of $25.5; operating margin was 16.2% versus negative 2.0%. Net income was $91.6 versus a net loss of $118.8. Diluted EPS was $0.10 versus a loss of $0.13. Q1 2023 included a $241.6 Solar goodwill impairment.
- Adjusted EBITDA: $614.2, up $34.7 (6.0%); margin was approximately 50.8% versus 45.4%. CSB Adjusted EBITDA increased to $637.7 from $590.0; Solar’s loss widened to $23.5 from $10.5. Adjusted EBITDA is a non-GAAP measure and excludes significant costs.
- Cash flow: Operating cash flow was $363.8 versus $306.6; investing cash outflow was $300.1 versus $336.0; financing cash outflow was $75.0 versus $40.6. Cash flows include discontinued operations in the prior-period presentation. Cash and cash equivalents were $4.0 at quarter-end; restricted cash was $114.7 and is not generally available for ordinary use.
- Debt and liquidity: Total debt carrying value, including finance leases, was $7,888.9, compared with $7,844.0 at year-end. Current maturities were $322.1. Available capacity was $525.0 under the revolving credit facility and approximately $56.1 under the uncommitted receivables facility. ADT reported compliance with debt covenants.
- Other indicators: CSB recurring monthly revenue (RMR) rose to $353.3 from $344.4. Gross customer revenue attrition increased to 13.1% from 12.9%, primarily due to higher non-payment disconnects, partly offset by fewer relocations. The company repurchased 15 million shares for approximately $93 million and declared dividends of $0.055 per share.
Material changes and management commentary
- ADT approved a full exit from residential solar on January 19, 2024, after a strategic review and continued industry and macroeconomic pressures. Sales and marketing ceased during Q1; substantially all field operations were expected to cease by the end of Q2.
- Solar-exit charges totaled $75.4 in Q1, including inventory write-downs, asset impairments, employee separation costs, contract termination charges and installation-pipeline costs. ADT expects up to approximately $35 million in additional charges and $40–$60 million in additional cash spending; estimates may change.
- Revenue growth in monitoring reflected higher average prices. CSB installation revenue benefited from more outright-sale transactions. Management cited inflation and operating-cost pressures, partly offset by customer price increases and cost savings.
- A prior-year comparison is affected by the 2023 Commercial Business divestiture, whose results are presented as discontinued operations. Commercial TSA income contributed $12 million in Q1 2024.
- Interest expense, net, fell to $88.9 from $171.3, mainly due to interest-rate swap gains and lower interest expense. This includes non-cash and variable swap effects; it should not be treated as a recurring run rate.
- After Apollo’s secondary offering and ADT’s concurrent repurchase, Apollo’s voting power fell below 50% and ADT ceased to be a NYSE “controlled company” on March 19. Apollo retained significant influence, including director nomination rights.
Outlook, risks and contingencies
- The filing provides no specific numerical full-year revenue, earnings or cash-flow guidance. Management said cash, borrowing capacity and operating cash flow should be adequate for operating needs and long-term liquidity needs.
- Management expects ADT to become a federal cash taxpayer in 2024 or 2025, depending on future losses, including Solar-exit effects. It also cautioned that changes to deferred-tax-asset valuation allowances could materially affect results.
- Key risks include high leverage and variable interest rates; customer additions, cancellations and non-payment; competitive and technology changes; cybersecurity and data-security events; supply-chain and inflation pressures; and execution of Google and State Farm partnerships.
- In April 2024, ADT redeemed the remaining $100 million of 2024 notes using revolving-credit borrowings, reduced the Term Loan B spread from SOFR +2.50% to SOFR +2.25%, and increased the receivables-facility capacity to $550 million while extending its revolving period to April 2025.
- Legal claims and proceedings are described as ordinary-course matters with no material change from the prior annual report. Accrued claims within an insurance program were $104 million. Separately, purported stockholders demanded changes to the stockholders agreement and bylaws following a Delaware court decision; the board was evaluating the demands and the outcome was uncertain.
- ADT has a $200 million Google Cloud purchase commitment through 2030, a minimum $190 million equipment-purchase commitment through March 2025, and $78 million of standby letters of credit, primarily for insurance programs.
