Engineered Products benefited from waste-handling, aerospace and defense demand, pricing, productivity, and higher volumes. Pumps & Process Solutions benefited from the FW Murphy acquisition and organic growth, but margin declined due to product mix and growth investments. Clean Energy & Fueling earnings declined because of lower volumes and unfavorable mix. Imaging & Identification earnings improved despite lower revenue through pricing, cost controls, and aftermarket mix. Climate & Sustainability Technologies was the principal weakness, reflecting HVAC inventory reductions in Europe and lower beverage can-making equipment demand.

Cash flow, debt, and liquidity

  • Cash and cash equivalents were $930.0 million at March 31, 2024, compared with $398.6 million at December 31, 2023.
  • Total debt was $3.942 billion, including $969.0 million of short-term borrowings and $2.973 billion of long-term debt.
  • Net debt to net capitalization improved to 36.9% from 37.3% at year-end 2023.
  • Operating cash flow and free cash flow declined primarily because of receivables collection timing and inventory investments ahead of expected shipments.
  • Capital expenditures were $44.5 million; management estimates full-year 2024 capital expenditures of $160 million to $170 million.
  • Dover had $1.0 billion five-year and $500 million 364-day unsecured revolving credit facilities. On April 4, 2024, the 364-day facility was replaced with a facility maturing April 3, 2025. No revolving facility borrowings were outstanding at March 31.

Material changes and unusual items

  • Dover completed the sale of De-Sta-Co on March 31, 2024, for total consideration of $674.7 million, including $63.0 million subject to finalization of closing activities. The preliminary pretax gain was $529.9 million.
  • The company acquired three businesses for total consideration of $174.3 million, including Transchem and Bulloch Technologies, primarily expanding Clean Energy & Fueling offerings, plus an Imaging & Identification acquisition.
  • Dover entered into a $500 million accelerated share repurchase agreement, funded with commercial paper, and initially received 2,569,839 shares. The program is expected to be completed in the third quarter of 2024; the final number of shares remains subject to the agreement’s pricing formula.
  • Restructuring and other costs increased to $24.7 million from $14.1 million, including $18.7 million of restructuring charges and a primarily non-cash asset impairment charge within Climate & Sustainability Technologies.
  • The effective tax rate increased to 20.9% from 20.2%, primarily because of the De-Sta-Co gain.

Outlook, commentary, and risks

Management expects positive trends in Engineered Products and Clean Energy & Fueling. Imaging & Identification is expected to improve through the year, while Pumps & Process Solutions anticipates continued demand in connectors, bioprocessing, precision components, and liquid cooling, partly offset by slower polymer-processing equipment demand. Climate & Sustainability Technologies expects revenue declines to continue into the second quarter, with improvement anticipated in the second half of 2024 as European heat-exchanger demand recovers and retail refrigeration demand remains strong.

Management expects continued cost-structure actions and stated that additional restructuring programs may be implemented during 2024. Principal disclosed risks include economic and market conditions, customer demand and capital spending, supply-chain and labor constraints, inflation, pricing pressure, interest and currency movements, acquisitions and integration, cybersecurity and privacy, product liability, litigation, tariffs and other legal or regulatory changes.

The filing provides operating commentary but does not provide clear consolidated full-year revenue, earnings, or EPS guidance.
