Eaton Corporation plc — Q1 2024 Form 10-Q
Reporting period: Three months ended March 31, 2024. Eaton is an intelligent power management company operating across electrical, aerospace, vehicle and eMobility markets.
Financial performance
| Metric | Q1 2024 | Q1 2023 | Change |
|---|---|---|---|
| Net sales | $5.943 billion | $5.483 billion | +8% |
| Gross profit | $2.218 billion | $1.884 billion | +18% |
| Gross margin | 37.3% | 34.4% | +2.9 percentage points |
| Net income attributable to Eaton shareholders | $821 million | $638 million | +29% |
| Diluted EPS | $2.04 | $1.59 | +28% |
| Adjusted earnings per share (non-GAAP) | $2.40 | $1.88 | +28% |
| Operating cash flow | $475 million | $335 million | +$140 million |
| Capital expenditures | $183 million | $126 million | +$57 million |
Higher sales volumes, net price realization and operating efficiencies supported margin expansion; growth-related costs, aerospace product mix and weaker Vehicle sales partly offset those gains. The effective tax rate increased to 17.9% from 16.1%. Adjusted earnings and adjusted EPS are non-GAAP measures; the filing reconciles them to GAAP results.
Segments and material changes
- Electrical Americas: Sales rose 17% to $2.690 billion; operating margin expanded to 29.2% from 22.9%, reflecting strength in commercial and institutional, industrial, and data center markets.
- Electrical Global: Sales and operating profit were flat at $1.500 billion and $274 million. Organic growth was offset by foreign-exchange effects; utility, machine OEM and residential markets were weaker.
- Aerospace: Sales increased 9% to $871 million and margin rose to 23.1% from 22.5%, including a gain on a facility sale; growth-related costs and unfavorable mix were offsets.
- Vehicle: Sales declined 2% to $724 million, while margin improved to 16.0% from 14.5% on efficiencies and pricing.
- eMobility: Sales increased 7% to $158 million, but the operating loss remained $4 million.
Management attributed overall sales growth entirely to organic growth. Corporate expense increased to $371 million from $320 million, chiefly reflecting higher restructuring charges and other expense, including litigation costs; lower interest and amortization expense partly offset the increase.
Cash, debt and liquidity
- Cash was $473 million and short-term investments were $1.969 billion at March 31, 2024, versus $488 million and $2.121 billion at year-end 2023.
- Total debt was approximately $9.187 billion, comprising $1 million of short-term debt, $994 million current maturities and $8.192 billion of long-term debt. The filing reports $9.261 billion at year-end 2023.
- No commercial paper or revolving-credit borrowings were outstanding. The company had $3.0 billion of revolving facilities available and reported compliance with debt covenants.
- Operating cash flow increased year over year, primarily due to higher net income, partly offset by higher working-capital balances. Investing cash flow was positive $33 million, compared with a $124 million outflow, while financing cash outflow increased to $536 million, including dividends and $138 million of share repurchases.
- Accounts payable included $361 million of supply-chain-finance obligations, compared with $369 million at the start of the quarter; management said the program does not significantly affect liquidity.
Outlook, risks and unusual items
- The filing gives no specific full-year earnings or revenue guidance. Management expects approximately $800 million of capital expenditures in 2024 and plans higher investment over the next five years to expand capacity. It intends to continue quarterly dividends and may continue share repurchases, subject to cash generation, market conditions and capital levels.
- A new restructuring program launched in Q1 incurred $63 million of charges. Eaton estimates total program charges of $375 million through expected completion in 2026 and expects mature-year benefits of $325 million when fully implemented.
- Firm backlog was approximately $15 billion at quarter-end; about 79% was targeted for delivery within 12 months. The filing cautions that many customer and distributor orders are subject to release and are not counted as firm backlog.
- Brazilian tax cases remain unresolved. A favorable April 4, 2024 court decision reduced the alleged deficiency in one case to $32 million plus $98 million of interest and penalties; another case alleges $27 million plus $118 million. Eaton has provided assets and other security and says it believes final resolution will not be material, while acknowledging outcomes could differ from expectations.
- Eaton says its broader legal matters, including historic asbestos-related claims, are not expected to have a material adverse effect. It identifies market demand, supply-chain disruption, pricing and costs, litigation, tax exposure, foreign exchange, interest rates and geopolitical or economic events among forward-looking risks.
- Management reported effective disclosure controls and no material change in internal control over financial reporting during the quarter. No material change in market-risk exposures was reported.
Investor verification points
- Track whether sales growth and margin gains persist, especially in Electrical Americas, and whether weaker Vehicle and selected Electrical Global markets recover.
- Compare operating cash flow with earnings and monitor working-capital needs, capital spending and cash conversion.
- Assess restructuring execution against the estimated $375 million cost, $325 million mature-year benefit and 2026 completion target.
- Monitor the Brazilian tax proceedings, required security and any changes to management’s assessment of potential exposure.
- Verify delivery conversion and durability of the reported $15 billion firm backlog, while distinguishing it from orders subject to customer release.
