Q3 revenue increased 9.1%, operating income increased 17.3%, and net income attributable to ITT increased 8.2%. Management reported adjusted Q3 EPS of $1.37 versus $1.20, and adjusted segment operating margin of 19.4% versus 18.2%.

  • Segment performance: Q3 revenue was $359.5 million for MT, $279.8 million for IP, and $184.0 million for CCT. Segment operating margins were 16.5%, 23.1%, and 18.0%, respectively.
  • Cash flow and investment: Nine-month operating cash flow was $367.6 million. Investing cash flow used $142.0 million, including $68.5 million of capital expenditures and $79.3 million for the Micro-Mode acquisition. Financing cash flow used $345.2 million.
  • Cash and liquidity: Cash and cash equivalents were $430.8 million at September 30, 2023, compared with $561.2 million at December 31, 2022. ITT had $242.7 million of commercial paper outstanding and no borrowings under its $700 million revolving credit facility, which matures in August 2026. Management expects sufficient liquidity for operations for at least the next 12 months and beyond.
  • Debt: Total debt and finance leases were $251.9 million, down from $458.7 million at year-end 2022. All revolving-credit financial covenants were in compliance.
  • Shareholder returns: Nine-month dividends paid were $71.9 million and share repurchases totaled $60.0 million. The quarterly dividend declared was $0.29 per share, a 10% increase from $0.264 in 2022.

Material Changes Versus the Prior Comparable Period

  • Revenue growth was driven by higher volume and pricing, particularly IP aftermarket activity, CCT component sales, and MT Friction OE sales. Favorable foreign currency translation contributed $21.6 million to Q3 revenue growth, while Micro-Mode contributed $6.0 million.
  • Organic revenue increased 5.4% in Q3 and 9.4% for the nine-month period. Nine-month organic growth was strongest in IP at 19.3%, followed by CCT at 6.8% and MT at 4.1%.
  • Gross margin expanded 300 basis points in both Q3 and the nine-month period, reflecting productivity savings, pricing and volume benefits, and lower Russia-Ukraine-related charges. Higher labor, overhead and raw-material costs partially offset improvement.
  • IP was the principal operating-income contributor, with Q3 operating income up 34.5% and nine-month operating income up 73.2%. IP benefited from aftermarket and pump-project growth, productivity savings, and lower Russia-Ukraine-related charges.
  • Interest and non-operating expense was $7.4 million for nine months versus $2.6 million, primarily because of higher commercial-paper rates and $1.4 million of interest related to an Italian tax audit settlement.
  • The nine-month effective tax rate increased to 20.0% from 19.0%. Benefits from German valuation allowance reversals and an amended federal tax return were partly offset by a $14.3 million Italian tax audit settlement expense.
  • Operating cash flow improved by $252.4 million year over year, primarily due to stronger operating results, lower incentive-compensation payments and improved working-capital performance.

Guidance, Outlook, Risks and Unusual Items

The filing does not provide a clear numerical full-year revenue or earnings guidance range. Management states that pricing actions and productivity savings have offset most inflationary and supply-chain pressures, but future effects remain uncertain.

  • Macroeconomic risks include inflation, interest-rate volatility, commodity costs, supply-chain disruptions, labor shortages, foreign-exchange movements, slowing demand and possible recession.
  • The Israel-Hamas conflict may affect ITT’s Habonim operations in Israel, which generated $14.1 million of Q3 sales and $42.8 million of nine-month sales. Future impacts cannot currently be reasonably estimated.
  • The UAW strike temporarily disrupted automotive production and could affect MT demand if settlements are not finalized or disruptions continue.
  • Russia-Ukraine-related pre-tax charges were $0.5 million in Q3 and $3.7 million for nine months, versus $0.3 million and $8.2 million in the comparable 2022 periods.
  • Environmental liabilities totaled $54.9 million, with a high-end estimated exposure of $89 million across 26 open sites. Management notes that actual costs could differ materially from current estimates.
  • Cybersecurity incidents, including the previously disclosed MOVEit incident, had not materially affected operations or financial results as of the filing, but ITT identifies cybersecurity and data-security risks as potentially material.
  • On November 1, 2023, ITT agreed to acquire Svanehøj Group A/S for approximately $395 million, subject to customary closing adjustments and regulatory approvals. Closing was expected in the first quarter of 2024; the business generated approximately $140 million of 2022 sales and will join IP.
  • ITT completed the $79.3 million Micro-Mode acquisition on May 2, 2023. Preliminary acquired goodwill was $45.7 million and acquired intangible assets were $28.7 million.
