Mueller Water Products, Inc. quarterly report, Q2 FY2024

Business context and reporting period

Mueller Water Products, Inc. filed this unaudited Form 10-Q for its fiscal second quarter and six months ended March 31, 2024. Its two segments are Water Flow Solutions (valves and service brass) and Water Management Solutions (hydrants, metering, leak detection and related products). Quarterly sales growth reflected higher pricing and volumes overall. Water Flow Solutions sales rose 30.9% to $205.8 million, while Water Management Solutions sales fell 16.0% to $147.6 million. Six-month segment sales were $347.1 million (up 7.5%) and $262.7 million (down 19.1%), respectively. Gross-margin improvement reflected pricing and manufacturing efficiencies, partly offset by lower volumes in Water Management Solutions and inflationary costs.

At March 31, cash and cash equivalents were $179.2 million; total debt was $452.3 million, including $450.0 million of 4.0% senior notes and finance leases. The company reported $162.6 million of additional ABL borrowing capacity. Current assets were $748.6 million and current liabilities $212.3 million. Six-month cash flow included $20.0 million of dividends paid and $10.0 million of share repurchases.

Material changes, outlook and risks

  • Management expects fiscal 2024 consolidated net sales to be flat to down 2% versus fiscal 2023, and capital expenditures of $40–$45 million. It expects stable municipal repair-and-replacement demand and residential construction to stabilize, while high interest rates may continue to weigh on new lot and land development.
  • The company says the October 2023 ransomware incident was contained and affected systems were restored; it reported temporary operational disruption and approximately $1.5 million of incident-related expense in the first quarter. It stated there was no fiscal-year-to-date impact on consolidated net sales, but remediation and analysis continue.
  • The Israel-Hamas war and limited labor availability have disrupted materials and production at the Ariel facility. Management said the impact on second-quarter Water Management sales was nominal, but supply and labor challenges remain.
  • Six-month strategic reorganization and other charges were $9.8 million, including leadership-transition, severance, transaction-related and cybersecurity expenses; the prior-year period included a $4.0 million gain on sale of a facility.
  • The ABL was amended on March 28, extending its maturity to 2029 and reducing certain interest margins. The temporary borrowing restriction tied to delayed cybersecurity-related reporting ended February 6, 2024. Management expects available cash, borrowing capacity and operating cash flow to cover anticipated needs for at least the next 12 months.
  • Risks include uncertain demand, municipal budgets, inflation and labor availability, supply-chain and geopolitical disruption, cybersecurity, warranty claims, and legal and environmental contingencies. The company has not accrued for the North Birmingham environmental matter because costs cannot currently be reasonably estimated. Management reported disclosure controls were effective at quarter-end.
