Cash, cash equivalents and marketable securities totaled $43.394 million at quarter-end. Net cash increased $1.209 million, reflecting $3.262 million of investing cash inflow, partly offset by operating cash use and $1.457 million of financing cash use. Financing outflows included $1.210 million of cash dividends and $186,000 of share repurchases. Total liabilities were $1.184 million; the company reported no long-term debt or off-balance-sheet arrangements. Operating margins are not meaningful because Q1 revenue was zero.

Other income was $479,000, including $431,000 of interest and dividend income and $48,000 of realized and unrealized securities gains. The company recorded a $147,000 deferred tax benefit and a $628,000 share of ILiAD Biotechnologies’ net losses. Its ILiAD investment had a $4.621 million carrying value at March 31.

Changes versus the comparable period

  • Revenue fell from $537,000 to zero; Q1 2023 revenue arose from Remote Power Patent settlements.
  • Operating expenses declined $395,000, mainly because there were no costs of revenue and professional fees, general and administrative costs, and patent amortization were lower. Despite the reduction, operating loss increased as revenue disappeared.
  • Net loss increased $297,000, primarily due to the lack of revenue. Interest and dividend income rose, but securities gains were lower than in Q1 2023.
  • Operating cash use increased by $306,000. Cash and cash equivalents rose from year-end, while marketable securities and working capital declined.

Outlook, risks and notable matters

  • Management believes available liquidity is sufficient to fund operations for the next 12 months and foreseeable future. No specific revenue or earnings guidance was provided; quarterly results may fluctuate significantly.
  • The company says its revenue depends on litigation and licensing outcomes. It has received more than $188 million from the Remote Power Patent historically, but that patent expired in March 2020; current litigation seeks past damages. Eight of ten defendants in related cases settled, while Ubiquiti and Honeywell remained defendants. A $150,000 conditional settlement payment has not been recognized because its conditions remain unsatisfied.
  • After quarter-end, on April 24, 2024, a court dismissed all claims in the company’s Cox portfolio case against Google and YouTube, finding two patents’ asserted claims indefinite and another asserted claim not infringed. The company was evaluating an appeal. The appeal of the dismissal of its Mirror Worlds case against Meta remained pending.
  • The Netgear litigation was settled on March 17, 2024, with general releases. The company also continues to pursue monetization of its M2M/IoT and HFT portfolios; outcomes are uncertain. All patents in the Mirror Worlds, Cox and Remote Power portfolios have expired, while M2M/IoT and HFT patents remain in force.
  • The company has invested $7 million in clinical-stage ILiAD, which continues to report losses; management states the investment’s outcome is uncertain. The company also warns it could qualify as a personal holding company in 2024 or later, potentially triggering a 20% tax on undistributed personal holding company income or a special dividend.
  • The board’s anticipated dividend policy is semiannual cash dividends of $0.05 per share, subject to review and change. The company paid $1.175 million in March 2024. Its share-repurchase authorization had $4.191 million remaining at quarter-end.

Investor verification priorities

  • Track the Google/YouTube case after the April 24 dismissal, including any appeal, and the pending Meta appeal.
  • Verify progress and proceeds from remaining Remote Power litigation, including the Ubiquiti and Honeywell cases and the conditional $150,000 payment.
  • Assess whether new M2M/IoT or HFT licensing activity can replace revenue from expired patent portfolios.
  • Monitor ILiAD’s financial condition and the recoverability of Network-1’s $4.621 million carrying value.
  • Review liquidity use, dividend sustainability, repurchases and any personal holding company tax or distribution consequences.
