Net income margin was approximately 1.0% of revenue, compared with a slight net loss in 2021. Reported results benefited from other income, including a $14 million gain on the sale of the Shelton, Connecticut office building, a $5 million gain on the sale of Borderfree and $7 million of deferred proceeds from prior business sales. These benefits were partly offset by a $5 million loss on early debt redemption.

Segment2022 revenueRevenue change2022 EBIT
Global Ecommerce$1.576 billionDown 7%$(100.3) million
Presort Services$602.0 millionUp 5%$82.4 million
SendTech Solutions$1.360 billionDown 3%; down 1% at constant currency$400.9 million
  • Global Ecommerce gross margin improved to 8.6% from 7.3%, but the segment remained unprofitable as higher operating expenses offset gross-margin gains.
  • Presort Services gross margin was 24.4%, compared with 24.8% in 2021. EBIT increased despite $23 million of higher transportation costs.
  • SendTech Solutions gross margin declined to 59.0% from 61.4%, primarily because of lower high-margin financing and support-services revenue.

Liquidity, cash flow and debt

  • Cash, cash equivalents and short-term investments totaled $681 million at December 31, 2022, including $182 million held by foreign subsidiaries.
  • The company reported $176 million of operating cash flow, $24 million of net cash used in investing activities and $198 million of net cash used in financing activities.
  • Total debt was $2.205 billion at year-end, comprising approximately 65% fixed-rate and 35% variable-rate debt. The weighted-average rate on variable-rate debt was 7.5%.
  • The company had no borrowings under its $500 million secured revolving credit facility and was in compliance with its covenants. The facility was amended in December 2022 to provide additional financial flexibility.
  • Required debt repayments over the next 12 months were $33 million; the next material principal maturity was $281 million in March 2024.
  • Management estimated 2023 cash interest payments of $170 million to $180 million and expected 2023 interest expense to be approximately $30 million higher than in 2022.
  • Contractual cash requirements totaled $2.955 billion, including $2.240 billion of debt maturities, $405 million of lease obligations, $217 million of purchase obligations and $93 million of retiree medical payments.
  • The company expected to continue paying a quarterly dividend of $0.05 per share, or approximately $35 million in 2023, subject to Board approval.

Material changes versus the prior comparable period

  • Revenue declined 4%, primarily because of lower Global Ecommerce volumes, a declining meter population, the shift to cloud-enabled products and lower lease extensions.
  • Global Ecommerce revenue and EBIT declined, while Presort Services revenue and EBIT increased. SendTech Solutions revenue and EBIT declined.
  • Operating cash flow fell by $126 million, primarily because growth in trade and finance receivables reduced cash flow by approximately $100 million, with additional effects from higher taxes, interest payments and a postage-related payment.
  • The company sold Borderfree effective July 1, 2022, receiving $95 million of net proceeds and recognizing a $5 million pretax gain. Prior-year results were not recast, reducing comparability.
  • Beginning in the fourth quarter, certain digital delivery services revenue was presented on a net rather than gross basis after a change in USPS contract terms.
  • A revised transportation-cost allocation methodology increased Global Ecommerce EBIT and reduced Presort Services EBIT by approximately $10 million in 2022.
  • Debt decreased by approximately $124 million through redemptions, scheduled term-loan repayments and open-market purchases. The company repurchased 2.8 million shares for $13 million.
  • Restructuring charges were $19 million in both 2022 and 2021.

Guidance, outlook, risks and unusual items

Management expected 2023 consolidated revenue to be flat to up by a mid-single-digit percentage on a comparable basis, with EBIT growth outpacing revenue growth. The outlook assumes improved Global Ecommerce profitability, higher Domestic Parcel volumes, productivity gains, continued Presort automation and facilities consolidation, growth in SendTech cloud-enabled offerings and stabilization of financing revenue.

  • Global Ecommerce cross-border operations were expected to remain pressured by a strong U.S. dollar and changes in how certain clients access cross-border services.
  • Management identified inflation, higher wages, fuel and transportation costs, higher interest rates, weaker consumer spending, recessionary conditions, supply-chain disruptions and geopolitical developments as potential headwinds.
  • Global Ecommerce goodwill of $339 million had less than 10% estimated fair-value headroom at December 31, 2022. A 100-basis-point increase in the discount rate or a 100-basis-point reduction in operating margins would have resulted in an estimated carrying-value shortfall, indicating material impairment sensitivity.
  • Key structural risks include declining physical mail volumes, dependence on USPS pricing and performance, intense competition, reliance on large ecommerce clients and third-party suppliers, labor availability and transportation capacity.
  • Cybersecurity, data privacy, cloud-system availability, foreign-exchange movements, tax changes and regulatory requirements remain significant risks.
  • Hestia Capital Partners notified the company of its intention to nominate seven director candidates for the 2023 annual meeting. The company expected potential advisory, legal, proxy-solicitation and operational-disruption costs associated with the activism.
  • Management and the auditors concluded that internal control over financial reporting was effective as of December 31, 2022. The independent auditor identified Global Ecommerce goodwill impairment assessment as a critical audit matter.
