  • Commercial paper outstanding was $1.8 billion. The company had not drawn on its $2.5 billion five-year, $1.5 billion syndicated 364-day or $0.5 billion club revolving credit facilities.
  • Cash used in financing activities was more than offset by $747.2 of net debt proceeds; the company paid $119.8 in common dividends. Net interest expense was $91.1, compared with $51.9 a year earlier.
  • Fitch lowered its senior unsecured rating to BBB+ from A- and commercial paper rating to F2 from F1. Credit-facility covenant terms were temporarily eased: the minimum interest coverage ratio was reduced from 3.5x to 1.5x for Q3 2023 through Q2 2024, then reverts to 3.5x.

Changes, outlook and management commentary

  • The company reported a GAAP net loss of $187.8, versus net earnings attributable to common shareowners of $175.3 in the prior-year quarter, which included discontinued operations. Prior-year CSS and MAS results were reported as discontinued operations following their 2022 sales.
  • The company is pursuing a $2.0 billion Global Cost Reduction Program through 2025. It reported approximately $430 million of run-rate pre-tax savings through Q1 and approximately $1 billion of inventory reduction since Q2 2022. Management targets approximately $1 billion of annualized savings by end-2023 and $2 billion by 2025. Supply-chain transformation is expected to require $0.9–$1.0 billion of cash investment over two to three years.
  • 2023 diluted EPS guidance was revised to a GAAP range of $(1.65) to $0.60, from $(1.65) to $0.85; adjusted EPS guidance remained $0.00 to $2.00. Expected free cash flow remained $0.5–$1.0 billion. Management described demand and destocking scenarios as uncertain and emphasized cash generation and inventory optimization.
  • Q1 included $12.1 of restructuring charges and a $7.6 loss on sales of businesses. The company said the Q1 restructuring actions are expected to generate approximately $20 million of annual net savings by end-2024.

Risks, contingencies and unusual matters

  • Environmental remediation reserves were $123.9; reasonably possible remediation costs ranged from $52.2 to $214.5. The company could not reasonably estimate its exposure to Lower Passaic River litigation and remediation beyond specified recorded items.
  • The company disclosed an SEC investigation concerning previously undisclosed perquisites and an offer of settlement subject to Commission approval. It also voluntarily disclosed international transactions that may raise Foreign Corrupt Practices Act questions; outcomes and potential losses could not be estimated.
  • A putative securities class action filed in March 2023 alleges misleading statements about consumer demand. The company said it could not assess potential loss at this early stage.
  • Other cited risks include demand and destocking, inflation and interest rates, foreign exchange, supply-chain and commodity costs, execution of the cost-reduction program, litigation, and access to capital. Management stated that disclosure controls were effective as of April 1, 2023.

Investor verification priorities

  • Confirm the reported period: this filing is Q1 2023, not Q1 2022.
  • Track volume, inventory and demand trends—especially in Tools & Outdoor—and whether margin recovery follows cost savings and high-cost inventory run-off.
  • Assess cash conversion against the full-year free-cash-flow outlook, planned transformation spending, dividend payments and debt levels.
  • Monitor covenant compliance, credit ratings, commercial-paper funding and the September 2023 maturities of the 364-day facilities.
  • Follow developments in environmental matters, the SEC and FCPA investigations, and the securities class action, including any changes to estimated exposure.
