- The North American intermodal operation was sold in March 2022 for approximately $705 million of net cash proceeds. XPO recorded a $450 million pretax gain in the first quarter and a $16 million working-capital adjustment in the second quarter, resulting in a $434 million six-month gain.
- The intermodal divestiture reduced Q2 revenue growth by approximately 8.4 percentage points and six-month revenue growth by approximately 2.8 percentage points.
- XPO redeemed $630 million of 6.25% senior notes due 2025 in April 2022, paying $651 million before accrued interest and recording a $26 million debt-extinguishment loss.
- Interest expense decreased 46.6% in Q2 and 44.7% for the six-month period, primarily because of lower average indebtedness.
- Transaction and integration costs increased to $25 million in Q2 and $35 million for the six-month period, compared with $6 million and $11 million, respectively, in the prior-year periods. Restructuring costs increased to $4 million and $10 million, respectively.
- Accounts receivable increased to $2.190 billion from $2.105 billion at year-end, while goodwill declined to $2.284 billion from $2.479 billion and identifiable intangible assets declined to $522 million from $580 million.

Guidance, Outlook, Risks and Unusual Items
- XPO expected to complete the planned tax-free spin-off of its North American brokered transportation platform, RXO, in the fourth quarter of 2022. Completion remained subject to registration-statement effectiveness, a tax opinion, satisfactory refinancing of XPO debt, final Board approval and other conditions. The filing provided no assurance regarding completion, timing or terms.
- Following the planned spin-off, XPO expects to be a pure-play North American LTL company, while RXO would contain the asset-light truck brokerage and related brokered-services businesses. A portion of XPO debt was expected to be repaid with proceeds from debt incurred by RXO.
- Management anticipated full-year 2022 net capital expenditures of $425 million to $475 million, excluding effects of the planned spin-off and European divestiture.
- Management stated that existing liquidity and capital sources were sufficient to support operations for the next 12 months. XPO was in compliance with debt covenants as of June 30, 2022.
- Labor shortages, particularly truck-driver and dockworker shortages, equipment constraints, supply-chain disruptions, inflation, fuel and wage costs, interest rates, foreign exchange, recessionary demand and the Russia-Ukraine war were identified as risks. Fuel surcharges and general rate increases offset higher transportation procurement and fuel costs during the reported periods.
- Potential additional restructuring costs related to the RXO spin-off could not reasonably be estimated. The company also disclosed legal matters, including misclassification claims and insurance contribution litigation, for which an unfavorable resolution could materially affect results, although management believed probable and estimable losses were adequately accrued.
- The filing stated that there were no material changes to previously disclosed risk factors, other than matters disclosed in the prior quarter’s Form 10-Q. Disclosure controls were deemed effective as of June 30, 2022.
