Axsome Therapeutics, Inc. — 2023 Form 10-K
Reporting period: Fiscal year ended December 31, 2023; comparisons are with fiscal 2022. This is an annual filing, not a standalone fourth-quarter report.
Business context
Axsome is a commercial-stage biopharmaceutical company focused on central nervous system disorders. Its marketed products are Auvelity for major depressive disorder (MDD) and Sunosi for excessive daytime sleepiness associated with narcolepsy or obstructive sleep apnea. Its principal development programs include AXS-05, AXS-07, AXS-12, AXS-14, and solriamfetol for additional indications.

|---|---|---|
| Total revenue | $270.6 million | $50.0 million |
| Net product sales | $202.5 million | $50.0 million |
| Net loss | $239.2 million | $187.1 million |
| Net loss per diluted share | $5.27 | $4.60 |

2023 product sales comprised Auvelity $130.1 million (2022: $5.2 million) and Sunosi $72.4 million (2022: $44.9 million). Revenue also included a $65.7 million upfront license payment from Pharmanovia and $2.4 million in related royalties. Axsome may receive up to €94.5 million in additional sales-based and other milestones and earns a mid-twenties royalty percentage on Sunosi net sales in the licensed territory.
The company reported no clear gross-margin figure in the filing’s summary results; cost of revenue was $26.1 million, including a $5.0 million license-sharing expense. Operating loss was $231.8 million, versus $179.8 million in 2022. The larger net loss reflected higher commercial and personnel expenses, research spending, and a $48.9 million increase in the fair value of contingent consideration, principally related to Sunosi.
At year-end, cash and cash equivalents were $386.2 million, up from $200.8 million. Current assets were $504.3 million and current liabilities $138.9 million. Long-term loan carrying value was $178.1 million, against $180.0 million of principal outstanding. The Hercules facility permits up to $350 million in aggregate borrowings, with $135 million reported as remaining available at year-end. Debt is secured by substantially all company assets, including intellectual property, and is subject to covenants. Management said available cash was expected to fund the operating plan into cash-flow positivity; the financial statements also state cash was expected to cover anticipated operating cash requirements for at least 12 months following the filing date.
Material changes and developments
- Total revenue increased substantially, reflecting growth in both marketed products and the one-time Pharmanovia upfront payment. Product sales rose to $202.5 million from $50.0 million.
- Commercial investment expanded: SG&A more than doubled, and R&D increased by $40.0 million, including spending on solriamfetol’s ADHD trial, AXS-05 and AXS-12 trials, and CMC work for AXS-07 and AXS-14.
- Operating cash use increased despite product revenue and the Pharmanovia payment. Financing cash flow included $243.0 million in net proceeds from the 2023 public offering and $83.6 million in net debt drawdowns.
- Axsome recorded a $48.9 million fair-value loss on contingent consideration, compared with $3.3 million in 2022; the related liability totaled $79.7 million at year-end.
Outlook, risks, and contingencies
- Management expects continued spending on commercialization and clinical development and cautions that the company may not achieve or sustain profitability. Cash sufficiency depends on execution of its plan, revenue growth, trial costs, and access to financing.
- Key clinical programs include the ongoing Phase 3 ADVANCE-2 trial of AXS-05 in Alzheimer’s disease agitation, the Phase 3 SYMPHONY trial of AXS-12 in narcolepsy, and the Phase 3 FOCUS trial of solriamfetol in adult ADHD. Topline SYMPHONY results were anticipated in the first quarter of 2024. The company planned Phase 3 trials of solriamfetol in MDD, binge eating disorder, and shift-work disorder.
- AXS-07 previously received an FDA complete response letter citing primarily CMC issues, not clinical efficacy or safety. Axsome said it planned to resubmit the NDA; the filing does not provide a clear resubmission date.
- Generic competition is a material exposure. The company reported paragraph IV notices from Teva concerning Auvelity and from six companies concerning Sunosi, and has filed patent infringement suits relating to those ANDAs. Outcomes and timing are uncertain.
- A securities class action related to AXS-07 CMC disclosures was dismissed in September 2023, but replacement plaintiffs filed a second amended complaint in February 2024. Related shareholder derivative actions were stayed pending further proceedings. Multiple Auvelity and Sunosi patent cases were also pending.
- Other significant risks include reliance on third-party manufacturers and clinical-service providers, reimbursement and pricing pressure, clinical and regulatory uncertainty, debt covenants and potential default remedies, and dependence on patent and license rights. AXS-05 carries a 3% net-sales royalty to Antecip, an entity owned by the CEO and Board chair; the filing identifies this as a related-party arrangement.
The independent auditor issued an unqualified opinion on the 2023 financial statements and internal controls over financial reporting. Management also concluded disclosure controls and internal controls were effective as of December 31, 2023.
