Liquidity, cash flow and debt

  • Cash, cash equivalents and available-for-sale marketable securities totaled $362.8 million at year-end, compared with $740.9 million a year earlier. Management stated these resources were expected to fund operations for at least 12 months.
  • Operating cash flow was $240.1 million; investing cash outflow was $487.0 million, principally reflecting the Antares acquisition; financing cash inflow was $362.4 million.
  • Convertible notes had $1.538 billion aggregate principal and $1.506 billion net carrying value at year-end. The 2024 notes were classified as current; the 2027 and 2028 notes were not convertible at year-end. In January 2023, the company elected to redeem the remaining 2024 notes, with an expected $13.5 million cash payment in March 2023.
  • The $575 million revolving credit facility was undrawn at year-end. The company had repaid the acquisition-related term loan and revolving-credit borrowings in August 2022. The credit agreement includes leverage and interest-coverage covenants.
  • Current assets were $739.0 million and current liabilities $130.8 million. The company repurchased $200.0 million of shares in 2022; cumulative repurchases under its current $750 million, three-year program were $350.0 million at year-end.

Material changes and business developments

  • Halozyme acquired Antares on May 24, 2022, for total consideration of approximately $1.046 billion. Antares contributed $112.7 million of revenue from acquisition through year-end, reported as approximately 17% of Halozyme’s FY 2022 revenue. The acquisition added XYOSTED, TLANDO, NOCDURNA and partnered device revenues, as well as $409.0 million of goodwill and $589.8 million of acquired intangible assets.
  • TLANDO launched in the U.S. in June 2022 after FDA approval in March. The company gave notice to terminate its NOCDURNA license, effective October 2023.
  • In August, Halozyme issued $720 million of 1.00% convertible notes due 2028, used part of the proceeds for an induced conversion of 2024 notes and repaid the acquisition-related credit borrowings. It also purchased capped calls for approximately $69.1 million, intended to reduce potential conversion dilution subject to their terms.
  • Partner milestones included a $10 million Takeda HYQVIA sales milestone and a $5 million BMS target-nomination payment. Chugai paid a $25 million upfront license fee and may owe up to $160 million in additional milestones, plus royalties.

Outlook, risks and other notable items

  • No quantitative company-wide revenue or earnings guidance is provided in the supplied filing text. Management expected royalty revenue to continue growing as newer ENHANZE partner products gain traction, offset in part by biosimilar pressure on mature products. It also expected proprietary-product sales to grow as it seeks to expand share in the testosterone-replacement market; bulk rHuPH20 and device-partnered product sales may fluctuate with partner demand.
  • Key execution dependencies include partners’ clinical, regulatory and commercial performance; the safety and regulatory profile of rHuPH20; third-party manufacturing and supply; and successful Antares integration. ENHANZE is identified as the company’s largest revenue driver.
  • Major financial risks include substantial convertible-note debt, possible cash settlement or dilution upon conversion, covenant obligations, partner and product revenue concentration, reimbursement and pricing pressure, patent protection, and regulatory or clinical setbacks. Two partners each represented more than 10% of revenue in 2022 (46% and 20%); the excerpt does not identify those partners in the concentration table.
  • The FDA accepted Roche’s BLA for subcutaneous Tecentriq in January 2023, with a September 15, 2023 PDUFA goal date. The FDA extended the review date for argenx’s subcutaneous efgartigimod BLA to June 20, 2023. These are partner programs, not Halozyme guidance.
  • No legal proceedings were disclosed whose adverse outcome management considered likely to have a material effect. The financial statements received an unqualified audit opinion, and management and the auditor reported effective internal control; Antares controls were excluded from the 2022 assessment while integration continued.

Investor facts to verify

  • How much of royalty growth is sustainable, and how exposed are results to the largest partner products, biosimilars and partner concentration?
  • Whether Antares achieves the expected commercial and integration benefits, including growth in XYOSTED, TLANDO and device-partnered products, while managing acquisition-related costs and amortization.
  • Progress, approval timing and commercial potential for key partner programs, particularly subcutaneous Tecentriq and efgartigimod, and the resulting milestone or royalty economics.
  • Debt repayment and conversion terms, covenant headroom, cash requirements and the balance between share repurchases and investment in operations.
  • Whether the company’s stated 12-month liquidity assessment remains appropriate as working capital, manufacturing commitments and lease obligations evolve.
