Material changes versus the prior comparable period

  • Product sales increased from none in the 2016 comparable periods to $8.5 million in the second quarter and $12.1 million year to date, reflecting the SUSTOL launch.
  • Research and development expense increased 5% in the second quarter and 43% year to date, primarily due to HTX-011, CINVANTI and SUSTOL development activity.
  • Sales and marketing expense increased 34% in the second quarter and 15% year to date, reflecting SUSTOL commercialization and launch preparation for CINVANTI.
  • Second-quarter net loss was modestly lower than the prior-year period, but year-to-date net loss increased by $16.5 million due primarily to increased development spending and interest expense.
  • Operating cash use increased from $59.5 million to $82.6 million for the first six months, while January 2017 equity financing generated $163.7 million in net proceeds.
  • Deferred SUSTOL revenue increased to $4.8 million because revenue was recognized using a sell-through approach while the Company developed sufficient data to estimate returns and other sales allowances.

Guidance, outlook, risks and unusual items

  • Management expected research and development expense to increase during the second half of 2017, including spending for HTX-011 Phase 3 activities.
  • The Company had initiated HTX-011 Phase 3 enrollment, expected to complete the program in the first half of 2018 and expected to file an NDA in 2018.
  • CINVANTI’s NDA remained under FDA review at the filing date, with the November 12, 2017 PDUFA goal date.
  • Management stated that the financial statements were prepared on a going-concern basis but that substantial doubt existed regarding the Company’s ability to continue as a going concern within one year, given recurring losses, negative operating cash flow and expected future capital needs.
  • The Company expected to fund future needs through equity or debt financings, collaborations, licensing arrangements or other financing sources, but stated that additional funding might not be available on acceptable terms or at all.
  • Cost of product sales included a $0.9 million one-time write-off of short-dated inventory in March 2017.
  • The Company expected approximately $0.4 million of remaining realignment-related expense, with final payment obligations expected in the second quarter of 2018. Total realignment expenses recognized through June 30, 2017 were $9.5 million.
  • Key risks included SUSTOL market acceptance, reimbursement and pricing pressure, potential generic competition to ALOXI, regulatory approval and clinical-trial risks for CINVANTI and HTX-011, reliance on contract manufacturers and suppliers, customer concentration, intellectual-property challenges and potential dilution from Convertible Note conversion.

Important facts for investors to verify

  • Whether SUSTOL sales growth and customer sell-through support sustainable revenue and whether deferred revenue and sales-allowance estimates are reasonable.
  • The timing and outcome of the FDA review of CINVANTI and the progress, cost and results of HTX-011 Phase 3 trials.
  • Cash consumption, available liquidity and the timing and terms of any required additional financing in light of the disclosed going-concern uncertainty.
  • Compliance with covenants and repayment requirements under the secured related-party notes.
  • The effect of potential generic ALOXI competition, reimbursement changes and customer concentration on SUSTOL revenue.
  • The potential dilution from approximately 7.7 million shares issuable upon conversion of the Convertible Notes, in addition to outstanding options and other equity awards.
