Ironwood Pharmaceuticals, Inc. — Q2 2014 Form 10-Q
Reporting period: Quarter and six months ended June 30, 2014. Financial statements are unaudited. Amounts below are in U.S. dollars; financial figures are rounded to millions unless stated otherwise.
Business context
Ironwood is a gastrointestinal-focused pharmaceutical company with LINZESS (linaclotide) as its marketed product. In the U.S., LINZESS is commercialized with Actavis; Almirall markets CONSTELLA in Europe and LINZESS in Mexico, and Actavis began Canadian commercialization in May 2014. Ironwood also has development collaborations for China and Japan and is advancing other GI and soluble guanylate cyclase programs.

- Revenue fell 29% year over year in Q2, primarily due to lower API shipments and European launch milestone revenue, partly offset by a higher U.S. LINZESS profit share. First-half revenue increased 66%, mainly reflecting a $10.2m year-over-year improvement in the U.S. profit share.
- Cost of revenue was $10.5m in Q2 and $12.4m for the first half, including an $8.9m inventory write-down. R&D and SG&A declined year over year in the first half to $49.3m and $59.2m, respectively. No collaboration expense was recorded in the first half of 2014, compared with $35.9m in the prior-year period.
- Net cash used in operating activities was $94.1m for the first half, versus $173.3m in 2013. Investing activities used $87.0m, including net purchases of marketable securities; financing provided $201.0m, principally from the February 2014 stock offering.
- At June 30, cash and cash equivalents were $95.4m and available-for-sale securities were $206.6m, for approximately $302.0m of unrestricted cash, cash equivalents and securities. Total assets were $371.1m; stockholders’ equity was $141.8m.
- Notes payable had a carrying amount of approximately $174.7m ($6.6m current and $168.1m noncurrent); the notes bear 11% interest and are due on or before June 15, 2024. Ironwood reported no principal payments through June 30 and expected about $6.6m to be current within 12 months. Capital lease obligations totaled $4.3m.
Material changes and unusual items
- The $8.9m inventory write-down reflected lower projected European sales, primarily following Almirall’s suspension of CONSTELLA commercialization in Germany after failure to agree on a reimbursement price.
- Ironwood completed a public offering in February 2014, issuing approximately 15.8m Class A shares and receiving $190.4m in net proceeds. This strengthened liquidity but increased the share count.
- Ironwood reduced headcount by approximately 10% in early 2014 and recorded $4.3m of related charges in the first quarter; it did not expect significant additional costs from that reduction.
- In July 2014, after quarter-end, Actavis completed its acquisition of Forest; the North American linaclotide collaboration remained in effect. Also after quarter-end, Ironwood agreed to sublease part of its headquarters through January 2018, with approximately $18.0m of expected sublease payments, and recorded a $1.9m charge.
Outlook, management commentary and risks
- Management expects continued net losses and substantial R&D and commercialization spending for the foreseeable future. It said June 30 resources should fund projected operating needs for at least the next 12 months, while cautioning that estimates may prove wrong. No specific earnings or revenue guidance was provided.
- Ironwood’s commercial prospects and cash needs depend substantially on LINZESS demand, pricing and reimbursement, partner execution, and the costs of development and commercialization. U.S. collaboration settlements and revenue from partner territories may fluctuate.
- Astellas’ Phase II Japanese IBS-C study showed numerically higher primary-endpoint responder rates in all dose groups than placebo, but differences were not statistically significant; analysis and next-step decisions were ongoing.
- Key risks include ongoing losses and financing needs; the 11% debt and reliance on Actavis-related payments for debt service; European reimbursement and launch uncertainty; reliance on partners and third-party manufacturers; clinical, regulatory, safety and post-approval requirements; competition; and intellectual-property and product-liability exposure.
- Management concluded disclosure controls were effective at the reasonable-assurance level and reported no material change in internal control over financial reporting during the period.
