Uniqure N.V. annual report, FY2021

uniQure N.V. — FY 2021 Form 10-K

Reporting period: Fiscal year ended December 31, 2021. This is an annual report, not a standalone fourth-quarter filing. Amounts are in U.S. dollars unless stated otherwise.

Business context

uniQure develops AAV-based gene therapies for rare and serious diseases. Its lead hemophilia B candidate, etranacogene dezaparvovec (AMT-061), was licensed globally to CSL Behring, which assumed responsibility for development and commercialization; uniQure retained manufacturing and related development responsibilities. AMT-130 for Huntington’s disease remained in clinical development. In July 2021, uniQure acquired Corlieve Therapeutics, adding the preclinical temporal lobe epilepsy program AMT-260.

Financial performance and position

The 2021 reported operating margin was approximately 59% and net margin approximately 63%, calculated from reported income and revenue; these unusually high results primarily reflect the CSL Behring license transaction, not recurring product sales. The company reported no product-sale revenue. Cost of contract revenue was $25.0 million. Other notable items included a $29.7 million foreign-exchange gain and $12.3 million of other income.

Cash, cash equivalents and restricted cash totaled $559.4 million at year-end. Investing activities used $67.4 million, including $49.9 million net cash paid for Corlieve and $17.4 million for property, plant and equipment; financing activities generated $94.9 million, including debt proceeds and ATM share sales. The company reported $34.8 million of recognized lease liabilities and $65.2 million of fixed lease payment obligations, including leases expected to commence in 2022.

Material changes versus prior year

  • Revenue rose by $486.5 million, chiefly from the CSL Behring agreement: $450.0 million upfront cash, $12.4 million allocated to the license sale, and $55.0 million of BLA/MAA submission milestones recognized as probable but not yet collected at year-end.
  • Net income of $329.6 million replaced a $125.0 million net loss in 2020. The swing was transaction-driven; R&D and SG&A expenses also increased by $21.1 million and $13.7 million, respectively.
  • Operating cash flow moved to $288.0 million from cash use of $134.8 million. The $55.0 million accrued CSL milestone was still an uncollected contract asset at year-end.
  • Cash and cash equivalents increased by $311.3 million. Debt principal rose to $100.0 million following additional Hercules borrowings; the facility was extended to December 2025.
  • Corlieve added an acquired IPR&D asset valued at $63.6 million and goodwill of $28.4 million at acquisition. The contingent consideration liability was $29.5 million at year-end.

Outlook, commentary and principal risks

  • Management estimated that cash and cash equivalents would fund operations into the first half of 2025, assuming achievement of $230 million of CSL Behring BLA/MAA submission and first-commercial-sales milestones. This is a conditional estimate, not assured funding.
  • The filing expected BLA and MAA submissions for AMT-061 in the first half of 2022. In the 54-patient HOPE-B study, the 18-month annualized bleeding rate was 1.51 versus 4.19 during the lead-in period; mean FIX activity was 36.9% of normal. The filing described treatment as generally well tolerated, with over 80% of adverse events considered mild.
  • For AMT-130, early 12-month observations in four low-dose-cohort patients showed no treatment-related serious adverse events, but cerebrospinal-fluid HTT measurements were highly variable and inconclusive. Enrollment and further study were ongoing.
  • Key risks include clinical and regulatory uncertainty, manufacturing validation and supply, COVID-related trial and supply-chain disruption, competition, reimbursement and pricing uncertainty, reliance on partners, and dependence on continued access to capital. Pfizer’s petitions challenging two uniQure hemophilia B patents were instituted by the Patent Trial and Appeal Board in November 2021.
  • Corlieve milestone commitments could total up to approximately $202.8 million, with timing and achievement uncertain; the company’s disclosed total commitment amount, including other agreed payments, was $229.1 million. The Hercules loan is secured by substantially all assets, subject to stated exclusions, and includes cash and other covenants.

Important facts for investors to verify

  • Whether CSL Behring submitted the BLA and MAA and paid the related $55 million milestones, and the subsequent regulatory status of AMT-061.
  • Actual cash burn and runway against management’s conditional first-half-2025 estimate, including whether the assumed $230 million of milestones is achieved.
  • AMT-130 enrollment, longer-term safety and efficacy evidence, and whether biomarker findings become interpretable.
  • Progress, valuation assumptions and potential milestone payments for AMT-260 and the Corlieve acquisition.
  • Outcome of the instituted patent challenges, manufacturing validation and inspection requirements, and compliance with Hercules loan covenants.
