  • Revenue rose 22%; reported diagnostic tests increased 24% to 115,785, and product tests sold increased 22% to 11,192. Management attributed testing growth mainly to Afirma and Decipher Prostate; improved collections contributed approximately $7.0 million to the year-over-year testing revenue increase.
  • Biopharmaceutical and other revenue fell 43%, primarily because customers reduced projects amid industry spending constraints. International revenue declined to $26.5 million from $33.6 million; U.S. revenue increased to $334.5 million from $262.9 million.
  • Combined cost of revenue was approximately $112.9 million, implying gross profit of approximately $248.1 million and a gross margin of 68.7%, versus approximately 65.7% in FY2022. Operating margin was approximately negative 23.8%, versus negative 13.9%; net margin was approximately negative 20.6%, versus negative 12.3%.
  • Operating cash flow was positive despite the net loss, which included substantial noncash charges, notably $68.3 million of long-lived asset impairments, $33.1 million of stock-based compensation and $27.2 million of depreciation and amortization. Cash, cash equivalents and restricted cash totaled $217.3 million at year-end; cash and cash equivalents alone were $216.5 million.
  • Total liabilities were $70.8 million and stockholders’ equity was $1.04 billion at year-end. The balance sheet reports no outstanding debt; lease liabilities totaled $12.6 million, and acquisition-related contingent consideration totaled $3.2 million.

Material changes and unusual items

  • Operating expenses rose 32%, faster than revenue. Research and development increased 41% to $57.3 million; general and administrative expense increased 18% to $86.2 million.
  • Veracyte recorded $68.3 million of impairment charges: $34.9 million related to its nCounter Dx license following a shift to a multi-platform IVD strategy, $32.0 million related to HalioDx biopharmaceutical-services intangible assets, and $1.4 million related to exiting its Richmond facility. FY2022 included a $3.3 million impairment charge.
  • The company recorded $7.8 million of FY2023 testing revenue from collections exceeding prior estimates for tests reported in earlier years, net of recoupments. Testing revenue estimates depend on payer coverage, collection history and management judgments; revenue recognition was identified as a critical audit matter. The auditor issued unqualified opinions on the financial statements and internal controls.
  • Cash from operating activities improved from $7.5 million to $44.2 million. Investing activities provided $15.1 million, principally reflecting net proceeds from short-term investment transactions, while capital expenditures were $10.0 million.

Outlook, risks and contingencies

  • Management expects further losses in 2024 and potentially beyond, while stating that year-end cash and expected revenue would meet anticipated cash requirements for at least the next 12 months. The filing provides no formal numerical revenue or earnings guidance.
  • Following year-end, Veracyte completed its February 5, 2024 acquisition of C2i Genomics for $70.0 million, primarily in Veracyte shares, subject to customary adjustments; up to $25.0 million in additional milestone payments may be made in cash or shares. Management expects the first C2i-based MRD test, focused on muscle-invasive bladder cancer, to launch in the first half of 2026.
  • Planned IVD milestones include Prosigna on Illumina’s NextSeq 550Dx platform outside the U.S. in 2025, Decipher Prostate as a qPCR-based IVD in the second half of 2025, and Percepta Nasal Swab on the Illumina platform in 2026. These are expectations, not assured outcomes.
  • Key risks include dependence on Afirma and Decipher and on payer coverage and reimbursement; the proposed FDA phaseout of general enforcement discretion for laboratory-developed tests; execution and integration of acquisitions; and competition and commercialization risks. The company also relies on sole-source suppliers for some critical materials and systems. NanoString, a supplier and licensor for nCounter-related products and services, filed for Chapter 11 bankruptcy in February 2024.
  • Other exposures include inflation, foreign-exchange movements, potential disruption to Marseille operations from European energy constraints, and disruption to C2i’s Israel operations from the Middle East conflict. The company reported no material pending legal proceedings and no material cybersecurity impact to date.

Most important facts for investors to verify

  • Whether Afirma and Decipher volumes, reimbursement rates and cash collections sustain testing revenue growth, and whether prior-period collection adjustments recur.
  • Whether Veracyte can reduce losses and operating costs while funding product development, international expansion and acquisition integration.
  • The cash cost, share dilution and milestone outcomes of the C2i acquisition, together with its integration progress and MRD launch timetable.
  • The final scope and timing of FDA oversight changes for LDTs, and any resulting compliance costs, review requirements or effects on test availability and reimbursement.
  • Whether NanoString’s bankruptcy or other sole-source supplier constraints interrupt nCounter-related supply, service or licensing.
  • Whether the $68.3 million of impairments signal further pressure on acquired assets or future impairment risk; goodwill remained unimpaired at year-end.
