FY2023 revenue was negative because Vistagen reversed previously recognized AffaMed sublicense revenue after extending its estimated development and regulatory performance period. The company recorded a cumulative revenue reversal of about $0.893 million; revenue for the full year was therefore $(0.227) million. No product revenue was reported. Margins are not meaningful given the absence of product sales and negative reported revenue.

Cash fell by $51.498 million during FY2023. At March 31, 2023, current assets were $17.507 million and current liabilities were $4.567 million. Total liabilities were $9.009 million, including operating lease obligations of $2.605 million, financing lease obligations of $0.009 million, and a short-term insurance-premium note of $0.105 million. The company stated that its cash was insufficient to fund planned operations for the 12 months following issuance of the financial statements. The auditor’s report includes a substantial-doubt paragraph regarding the company’s ability to continue as a going concern; the financial statements nevertheless received an unmodified fair-presentation opinion.

For the quarter ended March 31, 2023, revenue was $0.176 million, R&D expense was $9.337 million, G&A expense was $3.078 million, and net loss was $12.227 million.

Changes versus the prior year

  • Net loss increased by approximately $11.5 million, while operating cash use increased by approximately $4.5 million.
  • R&D expense rose approximately $9.0 million, primarily from fasedienol and itruvone development and clinical activity, and $3.559 million of Pherin acquisition costs recorded as R&D expense.
  • G&A expense rose approximately $1.2 million, including higher professional fees, insurance and investor-relations spending; pre-commercialization activity was curtailed following the PALISADE-1 result.
  • Vistagen acquired Pherin Pharmaceuticals in February 2023, issuing 413,670 shares and paying approximately $126,100 in cash consideration. The acquisition gave Vistagen full ownership of intellectual-property rights to its five pherine candidates.
  • Revenue recognition under the AffaMed agreement was extended after the PALISADE-1 setback: management estimated completion of its performance obligation in mid-2027 rather than mid-2024.

Business, outlook and key risks

The pipeline comprises six clinical-stage candidates: five nasal-spray pherines—fasedienol for social anxiety disorder (SAD), itruvone for depression, PH80 for menopausal hot flashes and potentially migraine, PH15 for cognitive impairment, and PH284 for appetite loss/cachexia—and oral AV-101, a candidate targeting the NMDAR glycine site.

  • Fasedienol: The Phase 3 PALISADE-1 study failed its primary efficacy endpoint. PALISADE-2 was closed after an interim review recommended that continuing would not be futile; topline results from 140 completers were expected in the second half of 2023 as of the filing. The open-label safety study was ended for strategic business reasons, not safety concerns. Vistagen reported favorable tolerability and exploratory LSAS improvements, but these open-label findings do not establish efficacy versus placebo. FDA feedback supported using the LSAS as a primary endpoint in a proposed real-world Phase 3 program, FEARLESS, involving repeated as-needed dosing. The plan remained subject to finalization, funding and execution.
  • Other programs: The exploratory fasedienol Phase 2A study in adjustment disorder with anxiety did not show a clinically significant difference versus placebo. A small PH80 Phase 2A study reported fewer hot flashes versus placebo, and management was preparing a U.S. IND submission for further study. Itruvone had completed a small U.S. Phase 1 safety study; Phase 2B development was planned. AV-101, PH15 and PH284 also required further development and funding.
  • Funding and execution: Management planned to advance FEARLESS, prepare further itruvone development, pursue IND-enabling work for PH80, PH15 and PH284, and prepare AV-101 development, all subject to adequate working capital. The company may seek equity or debt financing, grants, and collaborations; future funding or partnering is not assured and equity financing could dilute shareholders.
  • Material risks: Clinical efficacy remains unproven, including the failed pivotal fasedienol study; development and regulatory approval are uncertain; cash runway is inadequate for the stated plan without additional resources; and the company depends on third-party manufacturers, CROs and clinical sites. Vistagen also cited possible COVID-related olfactory impairment and trial disruption, competition, intellectual-property risks, reimbursement and pricing uncertainty, and potential Nasdaq listing risks.
  • Unusual and subsequent items: After year-end, Vistagen effected a 1-for-30 reverse stock split on June 6, 2023. It reported subsequent ATM sales of 561,418 shares for approximately $1.152 million gross proceeds through the filing date. These subsequent proceeds do not change the March 31, 2023 cash balance. The filing also noted nine employee resignations following the PALISADE-1 outcome, including the Chief Commercial Officer and Chief Medical Officer.

Most important facts for investors to verify

  • Current cash, cash burn and financing capacity, including the company’s ability to fund operations and planned trials beyond the 12-month going-concern horizon.
  • PALISADE-2 topline results and the final design, timing, cost and FDA requirements for FEARLESS; distinguish open-label or exploratory observations from controlled efficacy evidence.
  • Whether Vistagen secures a development or commercialization partner and whether AffaMed milestones or royalties become payable; the filing does not establish that future milestone revenue will occur.
  • Updated clinical timelines and spending priorities for itruvone, PH80, PH15, PH284 and AV-101, and any material changes to leadership or trial execution.
  • Subsequent share issuance, dilution and Nasdaq listing status following the reverse split and ATM sales.
