Gross margin is calculated on product and services sales, net, less cost of sales and intangible amortization; it excludes contracts and grants revenue and related corporate R&D costs. The nine-month 2026 operating loss includes a $191.3 million noncash impairment of the NARCAN intangible asset, recognized in Q2.

  • Revenue and margins: Q3 revenue fell 52%, driven by lower MCM sales, down $83.1 million, and Commercial sales, down $31.4 million. Nine-month revenue declined 16%. Q3 gross margin fell to 14%, principally reflecting lower sales volumes and unfavorable product mix that reduced absorption of fixed manufacturing costs.
  • Products and segments: Q3 Commercial revenue declined 42% to $43.5 million, largely due to lower U.S. OTC NARCAN sales and unfavorable price-volume mix. Q3 MCM revenue declined 58% to $59.4 million, mainly from timing-related reductions in smallpox and other product sales; anthrax revenue increased on higher CYFENDUS sales. Nine-month segment adjusted gross margin was $46.3 million for Commercial Products, down 45%, and $205.1 million for MCM Products, down 16%. These segment measures are non-GAAP.
  • Cash flow and liquidity: Nine-month operating cash flow was $122.4 million, versus $92.9 million in 2025; investing cash flow was $(50.1) million, versus $73.3 million provided; financing cash flow was $(104.5) million, versus $(22.7) million. Cash, cash equivalents and restricted cash totaled $176.9 million at period-end, down $32.2 million since year-end 2025. Working capital was $436.2 million.
  • Debt: Debt, net of issuance costs, was $507.7 million, compared with $572.1 million at year-end 2025; principal outstanding was $514.3 million. This included $149.6 million under the new term loan due 2031 and $364.7 million of 3.875% notes due 2028. The company repurchased $75.0 million principal amount of notes for $68.1 million cash and recorded a $6.7 million gain. It reported compliance with credit agreement covenants at September 30.
  • Other results and balance-sheet changes: Nine-month interest expense declined to $30.7 million from $44.6 million. The period included a $13.8 million net debt-extinguishment loss, primarily associated with refinancing, and an $11.4 million pretax loss on sale of the Gaithersburg office property. Intangible assets fell to $252.5 million from $436.5 million, including the NARCAN impairment and amortization.

Outlook, commentary and risks

The filing provides no specific revenue or earnings guidance. Management says available liquidity, including cash, operating cash flows and borrowing capacity, is expected to fund operations for at least the next 12 months. At September 30, the company reported $50.0 million of unused revolving capacity and an undrawn delayed-draw term loan facility of up to $75.0 million, subject to conditions.

  • In August, the company launched a restructuring plan, reducing its workforce by about 90 employees. It recorded $9.3 million of charges through September and estimated total charges of approximately $10.4 million, with activities expected to be substantially complete in Q4 2026. Expected savings are not quantified in the filing.
  • Management attributed the NARCAN impairment trigger to changes in current and projected operating results, notably pricing and sales volumes. The valuation used projected cash flows and other significant assumptions; further adverse changes could lead to additional impairment.
  • MCM revenue can fluctuate with government funding, contract options, order timing and deliveries. NARCAN faces generic and branded competition and pricing pressure. Other stated risks include reliance on third-party manufacturers, regulatory compliance and supply continuity, debt service and covenant requirements, and execution of restructuring.
  • The company reported no material developments in previously disclosed legal proceedings and no material changes to its other previously disclosed risk factors, aside from the updates described in the filing.

Key facts for investors to verify

  • Whether NARCAN sales, pricing and margins stabilize amid competition, and whether further impairment is warranted.
  • Timing and funding of U.S. government MCM orders, especially CYFENDUS, ACAM2000, CNJ-016 and BAT.
  • Whether the restructuring achieves savings without disrupting manufacturing, deliveries or controls, and whether costs remain near the estimate.
  • Cash generation, borrowing availability and covenant headroom as the company services its debt and the 2028 notes maturity approaches.
  • Whether the $241.9 million of remaining performance obligations, including $222.7 million expected within 24 months, convert to revenue on the anticipated schedule; the filing notes timing may change.
