IGC 10-K Summary
Reporting period: Fiscal year ended March 31, 2014; this is an annual report, not a standalone fourth-quarter report. The registrant is India Globalization Capital, Inc. (IGC). FY2013 comparative balance-sheet and cash-flow information was restated; the auditor said the restatement corrected errors and did not affect operations.
Business context
IGC reported iron-ore trading in China and construction/equipment-rental activity in India. Its Chinese beneficiation plants were not operating in FY2014, and the company said it had no beneficiation activity in FY2013 or FY2014. IGC was pursuing diversification into electronic-component trading, indoor farming and other areas; these initiatives were largely subsequent to year-end.

Revenue fell 71.7%, mainly because iron-ore trading volume declined. Trading generated $2.203 million, or 96.9% of FY2014 revenue; construction contributed $69,789. The company reported cost of revenue of $1.892 million, SG&A of $2.179 million, depreciation of $712,314, and interest expense of $291,520. Interest expense included $270,522 paid in stock. Other income was a net loss of $236,071, including foreign-exchange losses.
At March 31, 2014, total assets were $17.734 million, liabilities $3.589 million, and stockholders’ equity $14.145 million. Current assets were $3.758 million versus current liabilities of $1.031 million (derived current ratio approximately 3.6x). Current assets included $1.554 million of prepaid expenses and other current assets, including $977,740 in employee advances. Net PP&E was $7.587 million, principally associated with the China plants and related assets.
Debt included a $1.8 million note, extended to July 31, 2016, and $424,845 in current “loans—others.” The company reported no cash interest on the $1.8 million note; its monthly share-based penalty payments resulted in non-cash interest expense. Cash used in operations was partly offset by $1.758 million of equity issuance proceeds. Management described adjusted cash burn of approximately $1.18 million after specified non-cash items.
Changes, outlook and risks
- Despite lower revenue, operating loss was broadly unchanged year over year, as SG&A declined 28.4%. Net loss attributable to common stockholders worsened, while other income swung from a $240,064 gain to a $236,071 loss and the FY2014 statements recorded no income-tax benefit.
- Management expected FY2015 revenue to increase toward FY2013 levels, citing new initiatives. This was an expectation, not formal quantified guidance. The company also said expansion would require additional capital and that it had ATM and registration capacity available.
- After year-end, IGC acquired 51% of Hong Kong-based Golden Gate Electronics for up to 1,209,765 shares; 205,661 shares were issued at closing, with further shares tied to revenue and earnings milestones. Golden Gate’s FY2014 revenue was reported as approximately $10 million and unaudited.
- IGC also entered an indoor-farming agreement under which it could own 51% of ventures once production is operational, subject to a required cash investment. The filing described potential cannabis-related uses, but federal legality and regulatory scrutiny were significant risks.
- Other material risks included dependence on a small number of iron-ore customers, commodity-price and foreign-exchange exposure, inactive Chinese plants and uncertain raw-material availability, customer collection risk, and reliance on external financing. Management disclosed limited in-house U.S. GAAP/SEC reporting expertise despite concluding controls were effective.
- The auditor issued an unqualified opinion. The filing reported no pending or threatened legal proceedings; separately, it disclosed that IGC issued 12,026 shares in April 2014 to settle a dispute with a former lender.
Important facts for investors to verify
- Whether the FY2015 revenue expectation was achieved, and whether operating cash flow improved without relying on equity sales.
- Collection and recoverability of the $465,000 awarded construction claim and other aged receivables; the filing also describes aged receivables of about $0.5 million.
- Golden Gate’s audited results, financing arrangements, milestone performance, put-option terms, and the dilution from contingent share issuances.
- Cash investment, production milestones, ownership terms, and regulatory status of the indoor-farming ventures.
- The status and recoverable value of the non-operating China beneficiation assets, and the planned settlement of the Sricon interest for land.
- Reconciliation of the filing’s discussion of tax credits with the audited FY2014 income statement, which shows no tax benefit, and review of the FY2013 restatement disclosures.
