Q2 revenue grew 5.3% reported (approximately 5.5% constant currency); first-half revenue grew 3.8% reported (approximately 5.1% constant currency). Q2 operating margin was approximately 14.1%, versus 12.8% a year earlier; cost of revenue was 65.5% of sales versus 65.8%. First-half operating margin was approximately 13.5%, versus 13.3%. These margins are calculated from reported figures.

Q2 growth was led by R&D, with revenue up 7.5% and segment profit up 17.6% to $468M. TAS revenue increased 3.4%, but segment profit fell 3.6% to $370M as costs rose faster than sales. CSMS revenue declined 3.8% reported, entirely due to currency effects, and segment profit was $12M. For the first half, R&D revenue rose 6.1%; TAS rose 1.9%; CSMS fell 5.3% reported, including a 0.5% constant-currency decline.

Higher interest expense was a notable offset: Q2 expense increased to $169M from $94M, and first-half expense to $310M from $180M, primarily due to higher base rates on floating-rate debt and increased net debt. Other income was $16M in Q2 and $42M for the first half, versus expense of $33M and $43M, respectively, in 2022.

Cash, debt and liquidity

  • Cash and cash equivalents were $1.382B at June 30, 2023, versus $1.216B at year-end; $568M was held in the United States.
  • First-half operating cash flow was $819M, down $18M year over year. Investing used $818M, including $444M for acquisitions and $324M for property, equipment and software. Financing provided $182M; share repurchases were $619M.
  • Total debt principal was $13.839B; balance-sheet current debt was $1.344B and long-term debt, net of current portion, was $12.433B. The filing reports $1.795B of available revolving-credit capacity; no additional revolving commitments were available under the receivables financing facility.
  • In May, the company issued $750M of 5.700% secured notes due 2028 and $500M of 6.500% unsecured notes due 2030, using net proceeds primarily to repay revolver borrowings. Floating-rate debt remains exposed to interest-rate costs. The company reported compliance in all material respects with its financial covenants.
  • Management stated that cash, expected operating cash flows and available facilities should be sufficient for operating needs, capital spending, contractual obligations and debt service for at least the next 12 months.

Material changes, outlook and risks

  • Remaining performance obligations were approximately $31.0B at June 30; IQVIA expects to recognize about 30% within 12 months and 85% within five years. R&D contracted backlog was $28.4B, up from $27.2B at year-end, with approximately $7.3B expected to convert to revenue in the next 12 months. Backlog and remaining performance obligations have different definitions and are not interchangeable.
  • No quantified full-year revenue or earnings guidance is provided in the supplied filing text. Management cautions that interim results are not necessarily indicative of full-year results.
  • Restructuring actions to streamline operations, address overcapacity and integrate acquisitions are expected to continue through 2023 and into 2024. Q2 restructuring expense was $20M, versus $4M a year earlier; first-half expense was $37M, versus $11M. Most of the $34M accrued at June 30 is expected to be paid in 2023 and 2024.
  • Foreign exchange affected comparisons: first-half reported revenue growth of 3.8% was below constant-currency growth of approximately 5.1%. Approximately 30% of first-half revenue was denominated in non-U.S. currencies.
  • Legal matters include South Korean privacy-related proceedings and litigation between IQVIA and Veeva. Veeva seeks damages exceeding $200M in counterclaims; IQVIA disputes the claims. Management does not expect pending proceedings, individually or in aggregate, to have a material adverse effect, but notes an unfavorable outcome could be material in the period resolved.
  • The filing identifies risks including contract termination or delay, data access and privacy regulation, cybersecurity, foreign exchange, economic conditions, clinical-trial backlog conversion and acquisition integration. Management reported no material changes to previously disclosed risk factors and stated disclosure controls were effective.
  • The company repurchased 3.2M shares for $619M during the first half. On July 31, after quarter-end, the board added $2.0B to the repurchase authorization.

Investor verification priorities

  1. Track whether R&D growth and backlog conversion support the disclosed $7.3B expected next-12-month revenue conversion, while distinguishing backlog from remaining performance obligations.
  2. Assess the effect of floating-rate debt and refinancing on interest expense; review the $1.894B of contractual debt maturities in 2024 and $2.709B in 2025.
  3. Monitor cash conversion, receivables and unbilled services, which rose to $3.139B net, and the continued use of receivables factoring.
  4. Compare segment profit trends, particularly TAS margin pressure and CSMS revenue performance, against future periods.
  5. Review restructuring costs and cash payments, acquisition purchase-price adjustments, and developments in the Veeva and South Korean legal matters.
